Job Title: Non-Executive Director - Legal Reports To: Chairman of the Board of Directors Location: Shropshire FA, 2 High Street, Dawley Telford TF4 2ET Estimated time commitment to fulfil the role: This role is for an initial three-year term of office. The post requires a commitment to attend a minimum of six (6) bi-monthly Board meetings per year. Remuneration and Expenses: This is a voluntary role. Reasonable out-of-pocket expenses will be paid in line with the current Shropshire FA's expenses policy. The Non-Executive Legal Director will act as an ambassador for Shropshire FA and act as a custodian of the highest standards of integrity and governance. The Director will bring recent and relevant legal experience that will contribute to the development of a positive organisational culture and a robust governance structure. They will work closely with the wider Board, ensuring that they are informed through relevant and timely information. They will be required to form a strong relationship with the CEO, providing support and advice, and acting as a sounding board on all legal matters. Responsibilities Serve as a Director of Shropshire FA and actively participate in its strategic management. Execute the responsibilities of a Company Director in accordance with the Companies Act (2006) and other relevant legislation. Safeguard the interests of the membership and stakeholders of the Association. Establish clear objectives to deliver the agreed strategy and business plan and regularly review performance against those objectives. Ensure effective implementation of Board decisions by the CEO and staff, holding the CEO to account for the effective management and delivery of the Association's strategic aims and objectives. Jointly oversee the management of risk to the Association. Develop and maintain an effective corporate governance structure. Monitor the financial affairs of the Association and ensure the effective use of [Association] finances. Represent the Association to partners and stakeholders of the Association in a professional manner. Act with discretion in respect of sensitive, confidential, or commercial information provided to you in this role. Contribute to constructive debate on all Board matters. Promote equality of opportunity throughout the Association and its membership. Fully participate in Board induction, training or development and performance monitoring. Provide legal advice, guidance and support to the Board, as needed. Keep the Board aware of their legal responsibilities. Ensure processes are audited as required by law. Ensure suitable legal controls are in place. Instruct, manage and liaise with external lawyers where appropriate. Perform other responsibilities as assigned by the Board. Person Specification Essential Qualified Lawyer. Experience of performance management, legal issues and implementing them contextually. Strategic leadership and management skills. The ability to develop and monitor organisational strategy. Decision-making skills. The appropriate use of knowledge and experience to make informed decisions to the benefit of the organisation. The ability to debate, discuss and challenge in a constructive manner. Excellent interpersonal skills. The ability to form strong, productive relationships both internally and externally to the benefit of the Association. An ability to understand financial accounts, management accounts and budgeting. Access to and ability to use, email and the internet. Thorough knowledge of Company Law and the Companies Act (2006). An understanding of and commitment to equality, diversity and inclusion. Desirable A sound understanding of the volunteer/professional relationship and how this can best work to support the work of the Association. Knowledge and understanding of the Safeguarding Requirements for the Association. Knowledge of the Articles of Association and their application. Up to date and thorough knowledge of Grassroots Football and the role of the Association in its governance. Knowledge of the County FA Governance Code. Senior or Board-level legal experience. Knowledge and understanding of grassroots football and related activities. An understanding of The FA National Game Strategy and how this affects the work of the County Football Associations.
