The Role
The London Corporate team is seeking an ambitious and technically strong Corporate Associate to join its expanding practice. The role offers the opportunity to work on a broad range of high-profile, cross-border matters, often leading transactions from the London office in coordination with colleagues across the U.S., Europe, and Asia. You will be involved in all aspects of transactional work — from structuring and negotiation through to execution and post-closing matters — gaining hands-on exposure to global deals and working directly with clients and partners from day one.
Key Responsibilities
* Transactional Execution: Lead and support the execution of complex M&A, private equity, joint venture, and corporate restructuring transactions, often involving multiple jurisdictions and regulatory regimes.
* Drafting & Negotiation: Prepare, review, and negotiate key transactional documentation, including share purchase agreements, shareholder agreements, investment documents, joint venture arrangements, disclosure letters, and ancillary corporate documentation.
* Due Diligence & Coordination: Coordinate and conduct detailed due diligence on target companies, including review of corporate, commercial, regulatory, and financing documentation. Prepare due diligence reports and manage cross-border workstreams.
* Client Interface: Work directly with sophisticated clients, including multinational corporations, private equity sponsors, and institutional investors, providing clear, commercially driven legal advice.
* Global Collaboration: Liaise with colleagues and local counsel across Europe, the Americas, and Asia-Pacific to ensure seamless execution of global transactions.
* Regulatory & Advisory: Advise on general corporate and governance issues, including corporate structuring, compliance, and regulatory filings.
* Business Development: Support partners in marketing and business development initiatives, including client presentations, pitch materials, and thought leadership content.
Candidate Profile
* Qualified Solicitor (England & Wales), Dual Qualified, or equivalent common law qualification (e.g., U.S., Australia, New Zealand, Canada).
* 2–6 years’ post-qualification experience (PQE) in corporate law, ideally gained within a top-tier international or U.S. law firm.
* Strong track record in M&A, private equity, or general corporate transactions.
* Demonstrated ability to manage complex, multi-faceted transactions with minimal supervision.
* Excellent drafting skills and meticulous attention to detail.
* Strong commercial acumen and ability to provide pragmatic, solution-oriented advice.
* Confident communicator with an ability to build and maintain client relationships.
* Enthusiastic team player with a proactive attitude and willingness to take on responsibility early.
