Job Description
Deputy Company Secretary
An experienced governance professional is sought to join a large, regulated organisation as Deputy Company Secretary, acting as a key support to the Chief Legal Officer & Company Secretary.
This is a high-profile role with significant exposure to the Board, Executive Committee and senior leadership team. You will play a central role in ensuring effective corporate governance, supporting Board and Committee operations, maintaining regulatory compliance and contributing to strategic decision-making across the organisation.
Key Responsibilities
- Lead the planning and delivery of Board, Committee and governance calendar activities.
- Advise directors, executives and senior stakeholders on corporate governance, regulatory obligations and directors' duties.
- Maintain and enhance governance frameworks, policies and decision-making processes.
- Oversee subsidiary governance, statutory records, filings and reporting requirements.
- Support governance aspects of strategic projects, corporate transactions and organisational change initiatives.
- Build trusted relationships with Board members, Non-Executive Directors and Executive stakeholders.
- Provide leadership and development support to members of the Company Secretariat function.
About You
- Significant Company Secretariat and corporate governance experience, ideally within a regulated environment.
- Strong understanding of corporate governance principles, statutory requirements and regulatory frameworks.
- Experience supporting Boards, Committees and senior leadership teams.
- Excellent stakeholder management, communication and influencing skills.
- Strong judgement, discretion and attention to detail.
- Highly organised with excellent drafting and minute-writing capability.
- Commercially minded, pragmatic and solutions-focused.
