Job Title : Assistant Company Secretary Location: London (preferable)/Leeds/Manchester, with potential for some remote working Job Type: Full-time Start Date: Immediate Company Overview Equitix Management Services Limited (EMS) commenced trading on 1 October 2014 and has experienced rapid growth since inception, now operating across multiple locations in the UK and Europe. EMS provides SPV management services across 27 asset classes, building on initial capability across education and healthcare, and now active across many additional social infrastructure sectors, street lighting, renewables and environmental services. EMS has over £4bn of assets under management across 200 contracts. Services are delivered by a multi-disciplined team of over 200 people, and the company generates an annual turnover in excess of £28m. The business anticipates further growth in the coming years, with existing engagements under long-term contracts and visibility of a healthy pipeline of additional contracts. Role Overview This is a role for a candidate who has good work experience in a similar role, providing oversight and advice regards the EMS corporate governance arrangements in the UK, Ireland and a small number of European jurisdictions (desirable), as well as support to the teams responsible for delivering company secretarial services to EMS Clients. You will be the professional standards owner within the business, able to provide insights into good governance, and custom and practice that will allow EMS, it subsidiaries and its services to maintain high levels of compliance with prevailing legislative requirements, including the Companies Act 2006. The role will work with the EMS Financial Controller, the Finance Director and the Equitix Group Company Secretary, providing support to the EMS Board of Directors and the Boards of Directors for its subsidiary companies, overseeing the administration of Board activities, maintaining statutory records and filing of the same to Companies House. Additionally, you will work with the EMS Finance team to understand current custom and practice across EMS service delivery, working with Finance principals to embed excellent standards of company secretarial service provision and participating in assurance reviews. Principal Responsibilities Corporate Governance & Compliance Implement, maintain and refine the EMS governance framework, complying with Equitix Group requirements and safeguarding EMS subsidiary independence. Communicate, maintain and refine the project level governance framework, ensuring it is sufficiently scoped to comply with the contracts that scope the services for EMS Clients. Work with the Equitix Group Company Secretary to provide company secretarial support to EMS and its subsidiaries. Assist the Financial Controller and Finance Director in maintaining statutory and other records for all entities within the business, ensuring the timely submission of statutory filings for those entities and the accuracy of the information. Work with EMS corporate finance to ensure statutory documentation is maintained and filed on time, to include confirmation statements and annual accounts, draft and file Companies House forms and Board minutes and resolutions. Oversee the governance aspects of corporate transactions, including mergers, acquisitions and restructurings, ensuring the same are well documented and Board approvals exist. Keep principals informed of legal and regulatory developments, ensuring policies and procedures remain compliant and effective. Administrative & Project Support Provide company secretarial support to EMS, its subsidiaries, corporate projects and the projects where the contracting entities are public limited companies (PLCs). Oversee the schedules of Board and Committee meetings and maintain rolling agendas. Prepare agendas, circulate Board papers, take minutes and track actions. Deal with communications from Board and Committee members. Provide support in respect of arranging execution and notarisation/legalisation and assisting with KYC and/or corporate information requests. General Promote high standards of governance, integrity, and ethical behaviour across the business. Establish credibility with and inspire confidence in all stakeholders, exercising good judgment in dealing with sensitive and confidential issues. Liaise with lawyers, auditors, advisors and other third parties on corporate governance matters. Keep abreast of changing company and corporate law and other regulatory requirements in the UK and other jurisdictions and corporate governance practice generally. Drafting of regular corporate governance updates.
