An opportunity to join a high profile, fast-paced and collegiate FTSE50 team. The role involves a broad range of listed company and general company secretarial responsibilities, working with senior stakeholders in the business. The successful candidate will be experienced, confident and energetic, and will add value to the development of an industry-leading team.
Responsibilities
* Governance and Compliance
o Advise and support boards of subsidiaries and joint ventures on governance matters and statutory obligations.
o Lead the annual subsidiary accounts process and manage external corporate service providers to ensure compliance across UK and international entities.
o Enhance governance frameworks and statutory compliance procedures to reflect best practice.
* Listed Company Responsibilities
o Support preparations for the Tesco PLC AGM and contribute to the governance content of the Annual Report.
o Manage relationships with registrars and oversee shareholder engagement, including share schemes and dividend processes.
o Draft and release regulatory announcements and support compliance with the Market Abuse Regime.
* Project and Transactional Support
o Provide company secretarial input on restructurings, liquidations, and capital reorganisations.
o Collaborate with cross-functional teams (Tax, Treasury, Legal, Property) on corporate projects.
o Respond to queries from internal and external stakeholders, including auditors and regulators.
Qualifications and Experience
* Be a qualified lawyer or chartered secretary (ICSA) – good knowledge of company law and governance requirements is essential.
* Strong technical and analytical skills with the ability to think broadly on issues and apply sound judgement.
* Excellent written and verbal communication skills with the ability to deliver complex messages clearly and creatively.
* Strong project management, planning and organisational skills; able to work under pressure, prioritise and meet deadlines.
* Ability to liaise with senior managers and directors and proactively influence where appropriate.
* Ability to lead and adapt to change in a fast-changing retail environment.
* Tenacious and persistent approach with a focus on personal and team development.
