The Client:
Our client was founded in the North of the UK in 8 and has experienced significant growth to become a leading global transport business. They provide passenger transport services across Europe, employing around, people and delivering approximately billion passenger journeys. Their services include buses, trains, coaches, trams, waterbuses, bike-sharing systems, on-demand transport solutions, and leasing, connecting people and communities safely, reliably, and sustainably.
Their legal function is small but well-established, with a team in the North East of the UK supporting group-level legal matters, and several lawyers in service delivery centres in London.
The role:
They seek a skilled, commercially-minded legal professional for a 9-month fixed-term contract as Company Solicitor. This role provides expert corporate and commercial legal advice, as well as company secretarial support, to the Executive Committee, Group Boards, and Shareholders.
You will manage legal and contractual risks, ensure governance compliance, and provide sound legal guidance for decision-making.
Key responsibilities:
* Providing corporate and commercial legal advice to the Corporate Centre, Executive Committee, Boards, and UK functions
* Supporting strategic legal projects, including reorganisations, restructurings, and tax planning
* Delivering company secretarial and governance support, ensuring compliance
* Advising on shareholder matters and internal governance
* Implementing legislative changes (Companies Act, ECCTA) and aligning documentation
* Advising on treasury and tax matters, including funding and collateral arrangements
* Managing contractual risks and commercial matters
* Representing the Corporate Centre in legal discussions and stakeholder relationships
* Leading IP protection and strategy
* Overseeing legal and governance policies
* Supporting the Company Secretariat with legal advice and filings
What we’re looking for:
A qualified solicitor (UK or other jurisdiction) with strong corporate law and commercial contract experience. You should have sound judgment, a commercial mindset, and confidence advising senior stakeholders.
Experience in company commercial and corporate law, either in private practice or in-house, is required.
Key skills and experience include:
* Practical, business-focused legal advice balancing risk and outcomes
* Knowledge of UK GDPR, Competition Law, and Anti-Bribery legislation
* Understanding of corporate governance
* Ability to work cross-functionally and build relationships at senior levels
* Experience managing priorities in complex environments
* Excellent communication and analytical skills
* Proactive, collaborative approach, with sector interest
* Experience managing external legal advisers and internal teams
Working arrangements: Hybrid – 3 days in the office preferred, but flexible.
Location: Sunderland or London, full-time, Monday to Friday.
Salary: Depends on PQE and experience. Salary banding available upon application.
Start date: ASAP, with a maximum of 1 month notice required.
