About the Role
This is a key interim position supporting the smooth operation of the governance framework, board and committee meetings, and regulatory compliance.
You will work closely with the Head of Legal and Company Secretary, providing high-quality company secretarial and governance services across the business and to clients, while also mentoring junior team members.
Key responsibilities include managing the full lifecycle of board and committee meetings, ensuring timely and accurate filings with regulatory bodies, maintaining a comprehensive library of governance policies and procedures, and providing company secretarial services to internal stakeholders and external clients.
A strong candidate will have relevant industry experience, qualified as a Company Secretary (ICSA/CGI) or Solicitor (England & Wales), and excellent minute-taking skills.

Responsibilities:
* Manage the full lifecycle of board and committee meetings, including agendas, papers, minutes, and action tracking.
* Ensure timely and accurate filings with regulatory bodies.
* Maintain a comprehensive library of governance policies and procedures.
* Provide company secretarial services to internal stakeholders and external clients.
* Review contracts and support ad-hoc legal and governance projects.
Requirements:
* Qualified Company Secretary (ICSA/CGI) or Solicitor (England & Wales).
* Around 5 to 10 years of relevant industry experience.
* Experienced in dealing with company secretarial procedures and statutory requirements for all standard statutory returns and filings.
* Extensive experience in minute taking and ability to produce minutes in a technically challenging environment.
* Knowledge of Diligent Entities, Diligent Boardbooks.
