Title: Executive Director - Law
Location: London, UK (Onsite with some flexibility)
Position Summary
This role is a part of an integrated worldwide in-house legal team of NCR Voyix. You will be responsible for providing legal support in Europe, especially Northern Europe on a broad variety of legal matters and supporting a wide range of business units, functions and issues, including sales, field services teams, HR, procurement, dispute / litigation, regulatory matters, corporate governance for legal entities, Ethics and Compliance Office, M&A and strategic projects. The regions that you cover, and the business units and areas of support may be revised from time to time depending on the business needs of the company.
You will possess strong knowledge of commercial law in Europe especially in Northern Europe countries, including areas such as software licensing, cloud services, professional services, intellectual property, privacy and data security.
Key Areas of Responsibilities:
* Act as legal advisor to a broad range of management, sales and business clients.
* Support review of tenders and all aspects of contract formation in compliance with NCR policies, development/adaptation of NCR Voyix contract templates to ensure compliance with local laws and regulations.
* Review, draft and negotiate large and complex IT sales, services, licensing, subscription, SaaS, outsourcing and related agreements with major customers.
* Provide rapid, proactive, practical and business-oriented legal advice.
* Co-ordinate and advise in disputes and litigation matters (employment and commercial).
* Advise in complex company law projects such as acquisitions, divestitures and restructuring activities as well as day to day corporate secretarial matters for legal entities in the region.
* Advise in other areas such as employment matters (including TUPE), competition law, regulatory compliance including data protection and process improvement.
* Participate in the global law department activities including development of best practices, special projects and developing and maintaining templates that comply with company policies and local laws.
* Analyse and interpret law, rulings and regulations that affect company and recommend changes accordingly.
* Provide internal training on relevant legal issues to clients.
* Liaise with and manage outside legal counsel.
Requirements
* Fully qualified lawyer in UK.
* Minimum of 12 years of experience advising on technology transactions, preferably in the IT or other relevant technology sector for multi-national companies.
* Experience in working in a US multi-national company business environment.
* Experience in supporting multiple jurisdictions.
* Results-oriented thinker and a team player.
* Proactive, flexible, hands-on approach and a willingness to work on a broad variety of matters in a busy environment.
* Experience in guiding and managing a small team of in-house legal counsel.
* Experience in working with senior management and cross-functional collaboration.
* Excellent written and oral communication skills in English, including a clear and concise drafting style.
* Occasional business travel is required.
