Our goal is to maximise value through the safe, efficient, and responsible production of our assets. ​ Success is dependent on our talent, and, with bold and inspired people, we will create a workplace that is diverse and equitable, building a culture of collaboration and inclusion. ​ Position Overview ​ Ithaca Energy is accepting applications for the position of Paralegal/Legal Counsel, reporting to the Managing Counsel, located in our Aberdeen office. As a paralegal you will be supporting a busy team of 6 lawyers on a good variety of work. A key focus will be handling third party transfers, proximity agreements and CAs and there will be opportunities to work autonomously for the right candidate ​. ​ OR ​ Legal Counsel role - We are looking for a legal counsel to support the business. The role will have a particular focus on commercial law, oil and gas agreements and corporate matters. Responsibilities ​ Paralegal Managing Ithaca’s own licence transfers and being the focal point for third party transfers including collective novations. Liaising internally with the commercial, tax and finance teams and externally with co-venturers, other third parties and the regulator in relation to any transfers. Support to the business on proximity agreements, drafting and negotiating confidentiality agreements and providing support to the wider business on other commercial matters that arise. ​ Involvement in the annual decommissioning security renewal process in respect of postings to be made and assistance with review of third party securities. Managing the internal legal filing system and legal records. Legal research as needed. Support on business development transactions. Scope to get involved in finance transactions, projects and litigation work with support from others in the legal team. Maintain professional qualifications and knowledge though networking and study of legal developments and changes. ​ Legal Counsel As above and in addition, draft, review and negotiate a wide variety of contracts and commercial agreements relating to the Company’s operations. Provide legal advice on oil and gas agreements including: licensing, joint operating agreements, product sales/marketing, farm outs, CTIAs and TPOSAs, seismic, sale and purchase agreements, decommissioning security agreements, supply chain and compliance matters. Interface with joint venture partners, other oil and gas operators and service companies, regulatory authorities and external legal counsel as required. Company Secretarial work at subsidiary level as needed ​ Key Experience Required ​ Paralegal Proven and relevant experience in a similar role, either a Paralegal who has worked in-house at an oil and gas company previously or a Paralegal from a leading law firm. Recent experience of third party transfers, UKCS proximity agreements and confidentiality agreements. DSA/security renewal process experience would be an advantage but not essential. ​ ​ Legal Counsel Proven and relevant commercial legal experience in an oil and gas operator environment or with a leading legal firm on the matters and agreements described above. Upstream Oil and Gas M&A experience either in-house or with a leading law firm. Pragmatic and commercially astute. Outstanding communication skills to effectively advise internal clients on complex le gal concepts. ​ In addition A self-starter that can take both direction and work autonomously while demonstrating initiative and a strong sense of accountability Strong interpersonal skills with an ability to interact at different levels across the organisation An ability to manage a busy workload and competing priorities ​ Responsible and accountable – takes the initiative with a strong focus on delivery ​ Qualifications and Experience ​ Degree in Law - LLB Diploma in Legal Practice in Scotland; or equivalent in England and Wales Qualified to practice as a solicitor in Scotland; or England and Wales (Minimum 2 years PQE) or an alternative recognised Paralegal qualification.
