Purpose of Role

Support theCompany SecretaryandGeneral Counsel, Corporatewith all aspects of company secretarial work. Ensure compliance with UK public listing requirements, manage global entities, and collaborate with Compliance and Finance teams to uphold strong governance standards.

Main Accountabilities

Compliance & Governance

1. Ensure compliance with UK Listing Rules, DTRs, Corporate Governance Code & MAR.

2. Maintain Confidentiality Lists, Insider List & share dealing approvals.

Annual Report & Shareholder Meetings

3. Assistin producing and distributing the Annual Report.

4. Coordinate AGM/EGMs with registrars and stakeholders.

Subsidiary Administration

5. Support governance of global subsidiaries (filings, registers, resolutions).

6. Manage relationships with external corporate secretarial vendors.

Board & Shareholder Support

7. Prepare Board/Committee calendars & upload papers.

8. Liaise with registrars on dividends & shareholder queries.

Corporate Actions

9. Assistwith acquisitions, disposals & restructuring projects.

👤Person Specification

10. Calm under pressure, strategic thinker, proactive executor.

11. Professional, discreet, andrelationship focused.

12. Company Secretarial qualification desirable (not essential).

13. Experience in UK listed companiesadvantageous.

14. Knowledge of Companies Act 2006, Governance Code, Listing Rules & MAR desirable.

📍Location & Working Pattern

This role is based at our Global Lead Office in Victoria, London — a hub where collaboration and teamsynergydrive everything we do. To foster this dynamic environment, we ask team members to be on-site four days per week.
