THE COMPANY:
We are working with a regular client of ours, a commodities broker, who are searching for a Legal and Compliance Officer. The ideal candidate will have experience in legal and/or compliance roles, specifically within a regulated financial services environment
THE RESPONSIBILITIES:
Legal Support:
* Draft, review, amend and negotiate key agreements, including the firm’s Terms of Business (ToB), Introducing Broker agreements, Tripartite agreements, NDAs, ISDAs and other contractual documents as required.
* Provide legal support/analysis for commodities transactions.
* Participate in business projects in the provision of legal advice.
* Assist in the preparation of regulatory inquiries, examinations, and enforcement action as directed by the HoC and Deputy HoC.
* Monitor, summarise and present on current and forthcoming company law which may impact the business
* Provide legal advice and assistance on new legislation and regulation, new markets and new products etc.
* Review netting opinions.
* Act as a conduit with external lawyers and manage the internal workflows.
Compliance Support:
* Assist in the research and drafting of Compliance Policies as directed by the HoC and Deputy HoC.
* Assist in the maintenance of the firm's Anti-Money Laundering (AML) procedures by preparing onboarding and KYC/CDD review summaries ready for sign-off by the MLRO; maintain the MLRO Tracker documenting new onboardings and KYC/CDD reviews.
* Draft minutes for review by the Head of Compliance (HoC) for the Risk and Compliance Committee, CASS Committee and Compliance departmental meetings.
* Assist in the resolution of onboarding issues as they arise in support of the MLRO/Deputy MLRO.
* Undertake communications surveillance by reviewing exception reports of electronic communications, log the results, escalating any issues to the HoC.
EXPERIENCE REQUIRED:
* LL.B. from an accredited law school
* 3 years of experience in legal and/or compliance roles, specifically within: A regulated financial services environment and have practical experience within a commodities business line, preferably with knowledge of LME/ICEU Rulebooks; A law firm with a dedicated commodities, futures, or derivatives practice.
* Good drafting and negotiation skills in relations to a wide range of contractual matters and experience of industry specific documentation.
* Practical experience of dealing with a range of “business as usual” legal matters, such as general commercial contracts, data protection, IP issues, employment issues and disputes/litigation is an advantage but not vital.
* Experience with FIA documentation and clearing agreements etc
* Knowledge of AML/KYC requirements specific to financial institutions and commodities markets.
* Familiarity with sanctions regimes (OFAC, EU, UK).
