Position Summary
Why join our team?
The role sits within the UK Legal and Compliance team and reports into and is supported by the Senior Legal Counsel who is the key legal support for the Marketing and HR functions. It is a small and friendly legal team headed up by our General Counsel and consisting of three Senior Legal Counsel, two Legal Counsel and three paralegals. This is a general commercial paralegal role covering Samsung UK’s sales and marketing business. The role is broad in nature and will offer legal experience supporting across all elements of the business.
Role and Responsibilities
Your key responsibilities
You will be expected to (with adequate supervision where required):
1. Prepare monthly reports for various divisions on recent legal updates.
2. Prepare and present training to the legal team on key legal and sector updates.
3. Take responsibility for maintaining the Samsung legal precedents and consider any changes to be made to reflect new legislation and case law.
4. Draft and negotiate various service agreements and documents, contribute to conference calls and attend face to face meetings throughout the business.
5. Support all lawyers within the Legal team
Marketing Teams
You will be responsible for acting alongside Senior Legal Counsel as a key legal support for the marketing teams.
6. You will be responsible for drafting and negotiating a broad range of materials including:
7. agency services agreements;
8. terms for consumer facing promotions;
9. sponsorship agreements including celebrity endorsements;
10. talent contracts;
11. non-disclosure agreements;
12. loan agreements;
13. cease and desist letters in respect of third party IP infringements; and
14. correspondence with the Advertising Standards Authority.
15. Assist with the legal approval process by reviewing Samsung adverts and social media posts before they are launched.
16. You will be expected to advise on a broad range of legal matters including:
17. pricing practices;
18. sales promotions; and
19. marketing assets.
Finance and Service Teams and Data Protection
You will be responsible for acting alongside Senior Legal Counsel as a key legal support for the facilities, customer service and finance teams.
20. Provide support to the Data Protection Manager in connection with data protection matters such as responding to data subject access requests and responding to requests from regulatory bodies.
21. Build and negotiate a range of agreements and legal documents including:
22. service agreements;
23. residential lease agreements
24. terms and conditions;
25. policies and guidelines;
26. licence agreements;
27. letters of authority;
28. commercial lease agreements;
29. non-disclosure agreements;
30. loan agreements;
31. consumer letters; and
32. privacy notices.
33. Undertaking compliance due diligence checks of all new vendors registered through the procurement team.
34. Maintaining a document management system for residential lease agreements in addition to reviewing and drafting the same.
35. Responsible for acting as the first point of contact for the product liability team in relation to ad-hoc product liability issues and liaising with external counsel in relation to any product liability claims.
36. Advice on a wide range of legal topics such as:
37. commercial terms;
38. data protection;
39. warranties;
40. product liability and consumer claims;
41. financial terms; and
42. residential lease issues.
Commercial Teams
You will be responsible for acting alongside Senior Legal Counsel as a key legal support for the business' various product divisions, particularly Internet, mobile, consumer electronics and business to business sales.
43. Involvement in large scale contractual negotiations with national/international partners and companies.
44. Drafting and reviewing agreements including:
45. general conditions of sale;
46. terms and conditions;
47. commercial terms;
48. distribution agreements;
49. novation agreements;
50. service agreements;
51. employee incentive agreements;
52. channel partner promotions;
53. data protection agreements/ data sharing agreements;
54. space agreements;
55. non-disclosure agreements; and
56. intercompany agreements.
57. Legal and technology sector research and analysis
58. Supporting the SEUK legal team in commercial matters and project work as necessary
59. Providing support in general compliance matters and on competition law queries from the business.
Small Claims
Alongside the other Paralegal’s in the team you will be responsible for dealing with all aspects of our small claim’s procedure. This will involve:
60. liaising with the customer experience teams in order to gather internal evidence and address the claims received;
61. Advising the customer service team on relevant legislation;
62. Communicating with the Small Claims Court and attending mediations; and
63. Drafting defences, acknowledgments of service and settlement agreements.
