Responsibilities
1. Lead and deliver listed plc and IPO client engagements.
2. Advise clients on listed plc requirements,pliance,ernance, and transaction related matters.
3. Help to grow our business through client relationship management activities.
4. Develop subject matter market insights, technical knowledge and service delivery templates, processes, tools, and materials.
5. Manage, mentor, and develop junior team members.
6. Support business management and operational matters, including recruitment, resourcing, finance and risk management.
7. Administer the on-boarding of new clients in accordance withpany policies and processes.
8. Attending client andputershare hosted industry events.
9. Collaborate with Finance to manage billing and invoicing for clients, have an awareness of recoverability and work in an efficient manner.
10. Keep up to date of both internal and external influences to help shape continuous growth and development of the EGC business and offering.
11. Overseeing, training and supporting junior colleagues in all aspects of listedpanypliance andernance, enabling them to develop their career.
12. Providing support to listedpany boards andmittees, which will include attendance at meetings in a minute taking and advisory capacity.
13. Ensuringpliance with all continuing obligations such as Listing Rules and DTRs, Regulatory andpany Law requirements andpliance with Market Abuse Regulations (MAR).
14. Organising and managing shareholder meetings including the preparation of all relevant notices and meeting documentation.
15. Preparing and filing the relevant statutory filings and regulatory filings panies House, FCA, NSM).
16. Preparing, coordinating and releasing regulatory announcements using a range of RIS portals.
17. Providing advice and guidance on corporateernance best practice to a diverse portfolio of listed plc clients.
18. Drafting and reviewing non-financial sections of Annual and Half Year Reports and Accounts ensuring disclosures accurately reflect the client'sernance practices andply with relevant regulations, preparing and filing of relevant submissions and announcements on behalf of clients and project managing the process, where appropriate/required.
19. Overseeing, training and supporting junior colleagues in all aspects of listedpanypliance andernance, enabling them to develop their career.
20. Maintaining corporate registers from a regulatory, statutory andernance reporting requirements perspective.
21. Maintenance of insider lists and facilitation of proper management of sensitive information.
22. Coordinating board andmittee annual evaluations.
23. Monitoring directors' interests and conflicts of interest.
24. Liaising with third party advisors such as the client's registrar, broker and legal advisors.
What will you bring to the role?
To be successful as a Manager within our team you will be able to demonstrate an expert technical knowledge of listed plcernance,pliance and regulatory requirements in a previouspany secretarial role.
25. Strong technicalpany secretarial knowledge and corporateernance experience.
26. Experience working in a Professional Services environment would be beneficial but is not essential. Many of our team have an in-house background.
27. A history of building client or stakeholder relationships, which will help us to develop the EGC business.
28. Ability to influence and build effective relationships at all levels with clients and colleagues.
29. Awareness of legal, regulatory andernance trends and developments.
30. Attention to detail and track record of producing high quality work.
31. Experience of managing direct reports would be advantageous but not essential.
32. A resilient and proactive approach with the ability to take ownership/responsibility for own work and work of others.
33. Effective business, financial and risk management skills, and the ability to think/act strategically andmercially whilst protecting the reputation ofputershare.
34. Qualified member of CGI/ICSA (Desirable).
