Section 2 - Purpose of Job
* To develop the EMEA Real Estate Finance (REF) activities with responsibility for certain transactional, process and strategic initiative aspects
* To support the REF team's origination activities and lead client coverage and marketing activities on certain client accounts.
* To act as deal team leader in the origination and execution of a range of loan transactions, including the supervision of junior team members
Section 3 - Background
* This role resides in the Real Estate Finance (REF) team within the Structured Credit and New Products (SCNP) Group of the Specialised Products Department.
* The EMEA REF team originates and manages real estate finance loans principally non-recourse loans in areas of income producing and development non-recourse structures on properties located in UK and continental Europe
Section 4 - Facts / Scale
1. The REF team was established by SCNP in 2014 and currently manages c. $4bln in funded assets and commitments across c. 40 exposures/borrowers. Majority of the portfolio is secured portfolio on income-producing properties across UK/Europe in the office, retail, logistics, residential and alternative sectors.
2. EMEA real estate financings are complex and diverse covering both single and multiple property portfolios across a multitude of asset types, jurisdictions (UK, London, European cities) and sponsors (asset and fund managers, HNW, property developers, JV). The REF team can act as a club participant or lead arranger in real estate financings.
3. The role primary objectives include (i) for a range of EMEA based REF transactions perform and present initial review, lead and manage the origination and execution process (ii) contribute, lead and/or monitor projects and initiatives aligned to the achievement of SPD REF objectives (iii) support the GH on various real estate portfolio risk management, governance and process projects, (iv) certain line management (VP, AVP, Associate) supervisory aspects and in developing junior staff members.
4. Responsible for developing / maintaining relationships with clients including real estate corporates, asset managers, finance and asset brokers and financial institutions.
5. Role requires to work closely with other functions across the Bank to provide structuring, credit and general risk advice and ensure processes and practice comply with policy, regulation and best practice.
6. Marketing: Lead aspects of client marketing and identify decision makers and new deal opportunities/products. Design and develop appropriate marketing material and financing solutions as required. Develop own marketing leads and network through attendance at conference. Contribute to REF origination plan and marketing objectives. Provide information to clients on SMFG products and services, including investment products.
7. Credit: Conduct financial, risk assessment and real estate analysis of new transaction opportunities. Lead, manage and explain to key stakeholders the business case based on initial property and market analysis and relative to REF EMEA origination guidelines; identify, assess and explain key credit and business risks and related mitigants (e.g. tenant, property, sector, industry market) and take lead responsibility for credit application content; perform on-site diligence and assess third party due diligence including valuations and legal reviews; promote and influence credit review to CD/SPD senior management to ensure successful credit approval on timely basis. Work and liaise with overseas SMBC branches on financings that require UK and European real estate property expertise and credit support as required.
8. Structuring: Lead and manage deal team to identify and quantify risk areas. Prepare or provide initial comments / review on early stage term sheets; provide initial recommendations on project viability and key commercial terms (pricing, financial covenants, financing structure); provide value added comments and lead negotiate on legal documentation. Assume overall responsibility for negotiating financing terms in compliance with SMBC risk policies and credit approvals.
9. Execution: Lead and assume primary responsibility for deal execution and closing process; influence and manage key internal (KYC, Operations, Credit, Derivative, Legal) and external (valuers, external counsel, borrower, agent) counterparties to ensure efficient and timely financial close. Manage timely completion of key internal systems (GBR, grading, ROE, approvals, booking).
10. Process: Understand and adhere to key operating procedures including IPRE grading model, credit monitoring, NPS, branch booking procedures and policy. Compliance with all regulatory and internal policies and procedures. Identify and promote key betterments to the process and procedures.
11. Line Management: Create an inclusive working environment promoting teamwork and cohesive approach. Supervise, evaluate (VP, AVP) and provide guidance to junior team members as required. Support GH/MD in identifying and resourcing staff development and training needs.
Section 6 - Knowledge, Skills, Experience & Qualifications
* Marketing: Significant industry and transactional knowledge. Proven marketing and sales skills to be able to successfully market to and influence senior members counterparts (Finance Director, Treasurers)
* Credit: Strong technical knowledge and origination / execution expertise and experience in EMEA Real Estate Finance market. Strong credit / risk analysis skills and knowledge of industry documentation
* Execution: Experience in executing a multiple EMEA real estate finance transactions across various sectors, transaction types, jurisdictions and originators. Experience in managing small teams and/or deal teams
* Management: Ability to direct and manage transactional execution and closing process with minimum/no supervision. Role requires an ability to establish internal network and ability to manage & influence SPD management and relevant departments (CD, RMD, OAD). Understanding of SPD & SMBC's annual budget objectives
* Communication: Strong and proven communication (written and verbal), presentation and relationship building skills including in the areas of marketing, negotiation and influencing.
* Qualifications: Degree level, higher level financial qualifications (MRICS, CFA) - preferred, but not required
