Overview
The Company Secretary is accountable to the Chief Executive Officer and reports to both the Chair and the Chief Executive to provide independent advice. They will support the Chair and Chief Executive to meet their obligations, to ensure that the Trust maintains ongoing compliance with the regulatory frameworks and the terms of its Licence. The post holder is responsible for establishing and maintaining the highest levels of Corporate Governance.
Responsibilities
* Maintain the highest levels of Corporate Governance and provide advice and support to the Chair and Chief Executive in this regard
* Support Trust Board compliance with all relevant legislation and regulations, the Code of Governance and the current terms of authorisation issued by the regulator (NHSI/E)
* Ensure that the Board of Directors and its Committees are properly constituted, operated and supported, according to Standing Orders and the regulatory framework
* Develop the Board of Directors and Council of Governors
* Manage the Board Assurance Framework and Corporate Risk Register
* Provide leadership of the Corporate Governance agenda
* Manage the Trust Membership and Council of Governors
* Provide leadership of the Trust secretariat and risk management team
* Coordinate AGMs, the annual report and statutory reporting requirements
