A rare and exciting opportunity has arisen to join our Secretariat function as an Assistant Secretary.

Were looking for an experienced and highly motivated governance professional to support the Society Secretary in delivering high-quality secretariat services. This pivotal role helps ensure the Societys legal, regulatory and corporate governance obligations are met, safeguarding the well-being and integrity of the organisation.

What youll be doing:

1. Supporting the Society Secretary to ensure the Society and its subsidiaries comply with all statutory and legal requirements. This will include maintaining Registers and records for the FCA Mutal Register and Companies House.
2. Providing advice and support on corporate governance matters, including the Societys Rules and the Building Societies Act.
3. Assisting with the management and oversight of the Whistleblowing Policy and related procedures.
4. Planning, organising and preparing for Board, subsidiary and committee meetings; attending, taking accurate minutes, and tracking actions and decisions.
5. Contributing to the successful delivery of the AGM process.
6. Supporting the review cycle and maintenance of key corporate documents, policies and governance frameworks.
7. Assisting in the management and administration of the Societys insurance programme.

13. Self-motivated, able to work independently and use sound judgement.
14. High level of discretion and ability to maintain confidentiality.
15. Resilient, with the presence and confidence to manage challenging situations.
16. Strong organisational skills and the ability to maintain accurate systems and records.
17. Commitment to maintaining up-to-date professional knowledge and championing best practice.
18. Strong IT literacy, including proficiency in MS Office (Word and Excel).
19. Solid understanding of corporate governance, regulatory requirements, company law and building society law.

Experience & Qualifications:

20. Significant experience working at Executive and Board level.
21. Proven experience preparing agendas and producing accurate, high-quality minutes to tight deadlines, with excellent proof-reading skills.
22. Substantial experience managing a wide range of corporate governance responsibilities and prioritising effectively.
23. Ideally chartered or working towards Chartered Governance Institute (CGI) qualification, or holding other relevant legal/governance qualifications.
