Norges Bank Investment Management (NBIM) is seeking a dedicated and results oriented professional for the position of Senior Transaction Service Manager, within the Transaction Advisory & Subsidiary Management team in the Real Assets investment area (RATASM). The RATASM team includes tax, legal and finance specialists and is responsible for supporting transaction activity and existing investments. We play a key role in ensuring that NBIM Real Assets effectively manages financial, tax, legal, regulatory and reputational risk associated with its investments and activities, and that thepanies in the subsidiary group and investment joint ventures meet their statutory obligations.
RATASM is an internal advisory team and strong relationships both with the Real Assets investment teams and with wider NBIM stakeholders and investment partners will be essential.
The position reports to the Head of Business and Transaction Management, is based in London or Oslo and some travel is to be expected.
What you will do
1. Interaction with investment and operations teams with a focus on deals and structures for real assets investments.
2. Provide accounting advice and financial diligence support to investment teams on investment opportunities, and assess advisory and due diligence budget requirements, procurement and oversight of advisors for opportunities being pursued.
3. Lead the financial and operational due diligence and closing adjustment processes, ensuring that key financial and operational risks and opportunities are identified and addressed appropriately in the transaction documents and closing statements.
4. Review of financial models for real assets investments and provide quality assurance, advice and challenge to investment teams and external advisors.
5. Provide guidance and support to NBIM operations and investment teams on accounting matters and foster a collaborative and high-performing culture.
6. Contribute to investment memoranda.
7. Contribute in determining the optimal structure, funding and management arrangements for investments from an accounting/operational standpoint.
8. Participate in accounting related discussions around uing changes topany law, IFRS and/or local GAAP accounting standards and/or asset management events affecting NBIM’s investments, including where appropriate proposing restructuring or other appropriate changes.
9. Act as a contact point for finance, reporting and operations teams of relevant investment partners and asset managers in relation to accounting and finance matters during the transaction and on-boarding phases.
10. Assist in the on-boarding ofpleted investments including the preparation of purchase price allocation, the procurement of service providers and facilitating the smooth handover of the investment to the operations team.
What you need
11. A finance/accounting qualification and current professional status in accounting is required.
12. Ideally no less than seven years professional experience in-house and/or within a reputable advisory or auditing firm including significant international transactional experience.
13. Significant cross-border experience of the real estate and renewable energy sectors.
14. Knowledge of IFRS and at least one local GAAP accounting standard (German, French, Japanese, Luxembourg or US GAAP) essential with some experience of IFRS/GAAP adjustments
15. Some European transaction experience is essential.
16. Experience of statutory financial reporting obligations and reporting rules in different areas would be advantageous, as would previous exposure to Yardi.
17. Experience of Real Estate, Infrastructure and/or Private Equity investment funds is an advantage.
18. Proficiency in written and spoken English required. Ability to work in other European languages an advantage.
