Overview
Reporting directly to the Deputy Head of Corporate Services within Artex Capital Solutions ("ACS"), the VP Corporate Services is an established and experienced Client Corporate Services and Company Secretarial role.
How you'll make an impact
- Act as Company Secretary to a portfolio of companies primarily reinsurance and fund companies established in Bermuda taking full and active responsibility for all corporate services responsibilities including: convening meetings of Directors and Members; attending meetings; drafting minutes; attending to statutory filings; maintenance of statutory registers; corporate record keeping etc.
- Provide Company Secretary support for team members’ portfolios as and when required
- Lead and manage key client relationships and ensure exemplary client service standards are met
- Conduct annual reviews of client companies and monitor compliance with relevant domicile legislation including identifying and reporting on areas of non-compliance
- Governance oversight of client portfolio and advising clients on robust corporate governance
- Ensure all regulatory filings and reporting are timely undertaken and filed with the ROC and BMA
- Conduct incorporations and BSX listings
- Follow all policies and procedures in accordance with applicable laws, rules, regulations and Artex internal risk control standards, assisting the Compliance & Risk team with remedial actions for any client related non-compliance occurrences.
- Demonstrate appropriate knowledge of relevant AML/ATF legislation and applicable acts and regulation in the jurisdictions in which the Company operates. Ensure compliance with the same, including effective control management and appropriate governance oversight within your remit.
- Understand your clients and ensure relevant updated KYC documents are available.
- Collaborate with management and risk and compliance to elevate observed concerns or report matters that indicate a client is or is likely to be out of compliance. Where necessary, uphold utmost confidentiality of matters under investigation or instances where a report has been filed for suspicious activity.

- Manage and support Team initiatives and projects as and when required
- Ensure adherence to corporate services provider policies and procedures
- Support the development, growth and operations of the Corporate Services Team
About you
- Professional chartered secretary qualification
- Minimum of eight years prior experience in corporate secretarial role
- Prior management experience advantageous
- Thorough knowledge of Bermuda company legislation and related ROC and BMA regulations.
- Technical background in and knowledge of Bermuda reinsurance and Fund industries’ regulatory, compliance and governance frameworks
- Appropriate knowledge of AML/ATF legislation and requirements.
- Action orientated, strategic thinker, proactive and responsive at all times
- Excellent interpersonal, organizational and communication skills
- Ability to meet tight deadlines
- Excellent judgment and decision‑making skills
- Proficiency in Microsoft Office and Viewpoint or other corporate data base systems
- Flexibility and willingness to work outside of normal office hours as and when required
