About The Role The Group Deputy Company Secretary will provide comprehensive corporate governance, company secretarial and regulatory support across a diverse group of companies, including FCA-regulated entities. The role ensures the Group meets its statutory, regulatory and governance obligations and supports the General Counsel and wider Legal team with research, projects and strategic initiatives. They will also act as Secretary to the Group’s charitable foundation. This is a hands-on role suited to an organised, proactive individual with strong attention to detail and an interest in governance, regulation and corporate law who thrives on collaboration and creative problem-solving. As a team, it is key we provide clear, business friendly governance advice across all departments and that we champion ethical and responsible practices. Key Responsibilities Governance & Company Secretarial Duties Act as Company Secretary for multiple UK entities, including FCA-regulated firms and non-regulated subsidiaries. Manage all statutory company secretarial requirements, including maintenance of statutory registers, Companies House filings, confirmation statements and director/PSC updates. Organise, attend, and minute Board, Committee and shareholder meetings across the Group. Prepare and coordinate Board and Committee packs, agendas, action logs and governance calendars. Ensure compliance with the Companies Act 2006, UK Corporate Governance principles and relevant regulatory obligations. Support the Group General Counsel in implementing governance frameworks, policies and best-practice standards. FCA-Regulated Entity Governance Support governance needs specific to FCA-regulated businesses, including SMCR-related administrative support, maintaining governance maps and assisting with regulatory submissions where appropriate. Ensure governance materials meet FCA expectations regarding oversight, risk management, and documentation. Assist with coordination of FCA notifications and regulatory correspondence as required (non-legal). Research, Analysis & Project Support Conduct legal, regulatory and governance research to support the General Counsel and wider legal team. Assist with ad-hoc legal and governance projects, including corporate restructurings, M&A activity, policy reviews and cross-group compliance initiatives. Support the review and implementation of legal operations tools, governance processes and knowledge-management systems. Corporate Record Management Maintain accurate company records, minute books, corporate databases and group structure charts. Ensure timely execution and sealing of documents and resolutions. Manage document retention policies in line with legal and regulatory requirements. Foundation & Charitable Activities Act as Company Secretary to the Group’s Foundation (charity or charitable arm). Coordinate trustee meetings, minutes, filings with the Charity Commission or relevant bodies and governance compliance. Assist with project management and governance processes related to Foundation initiatives. Stakeholder Management Engage effectively with Board members, senior leadership, external advisers, auditors and regulators. Provide clear, timely communication and support to directors and stakeholders on governance and compliance matters. Assist with director onboarding, training and annual Board evaluations. About You Specialist Skills, Qualifications and Experience: Essential Strong prior experience in a company secretarial or governance role within the UK. Experience supporting regulated firms (ideal: FCA-regulated environment). Strong understanding of Companies Act 2006 and UK governance principles. Excellent minute-taking skills. Ability to work independently on research, drafting and project tasks. High level of accuracy and attention to detail. Clear communicator, able to work effectively with business stakeholders. Well organized, proactive and comfortable managing multiple tasks with support. Eagerness to learn, develop and take on increasing responsibility. Desirable CGI (ICSA) qualification or working towards it. Experience working in a group structure with multiple entities. Experience supporting SMCR processes or regulatory reporting. Prior involvement in charity governance or foundation administration. Interest in legal operations or corporate governance technology. Rewards & Benefits Competitive salary.
