About the role
We are looking for a Corporate Paralegal to work out of our Support Office in Handforth (Cheshire), and we can offer hybrid working from this location. This is a 12-month fixed term contract.
As Corporate Paralegal, you will provide assistance to our Legal Team and in particular the Vet Group team. This is an excellent opportunity for an individual to gain experience within a high-achieving and supportive in-house legal team, and to widen their skill set across a broad range of legal and corporate/commercial matters in a successful and fast-paced business.
You can expect to get involved with:
1. Assisting our solicitors with drafting and negotiating standard form corporate documents including: Joint venture agreements Share purchase agreements Board minutes and written resolutions Banking documents
2. Company secretarial support, including filing forms with Companies House or other statutory bodies as appropriate and being a first point of contact for our internal secretarial filing system
3. Liaising between a range of stakeholders, including internal departments, external solicitors and lenders
4. Preparing lender conditions precedents in the run up to completion of corporate transactions
5. Assisting with completion of corporate transactions, including preparing execution packs, attending signing days and ensure correct signing and completion of documents
6. Coordinating post completion filings and transaction binders
7. Supporting with general legal queries
About you
8. Previous paralegal and/or corporate experience is desirable
9. A degree level qualification
10. Ability to work in a team environment with other business functions
11. A “can do” attitude with a positive and proactive approach
12. Strong written and verbal communication skills
13. Ability to organise yourself efficiently and to work to multiple deadlines
14. General business and commercial awareness
