Director, Secured Issuance, Group Corporate and Treasury Legal
Purpose of the role
To ensure that the banks corporate and governance (including public disclosures) are compliant and well-managed, including creation and review of legal documents in accordance with policies.
Accountabilities
* Development and implementation of legal strategies for risk management and compliance.
* Legal advice on a wide range of issues including disclosure, financial reporting, company law, governance, securities issuances, regulatory capital, recovery and resolution planning, and contractual arrangements.
* Representation in legal proceedings related to legislation and regulations, including litigation, arbitration, and investigations.
* Creation and review of legal documents ensuring compliance with laws and regulations.
* Legal research to stay updated on legal and regulatory changes.
* Developing and delivering training on legal and regulatory requirements.
* Proactive legal advice on applicable laws, rules, and regulations, ensuring they are reflected in policies and controls.
Director Expectations
* Manage a business function, contribute to strategic initiatives, and influence policy and procedures.
* Lead a large team or manage significant projects, coaching and guiding less experienced staff.
* Provide expert advice to senior management and committees, manage resources and budgets, and ensure regulatory compliance.
* Engage with external regulators and advocacy groups, and stay informed on industry practices.

Key Responsibilities
* Lead execution and management of securitisation platforms, supporting Treasury teams.
* Ensure legal involvement in strategic discussions and compliance with regulations like the Securitisation Regulation, CRR, and ring-fencing regime.
* Provide briefings to senior legal management and collaborate with external counsel.
* Manage existing platforms and own legal risk and deliverables related to securitisation.
Stakeholder Management and Leadership
* Manage relationships with Treasury business teams and engage with senior stakeholders.
* Drive solutions and mitigate risks across internal and external stakeholders.
Essential Skills/Qualifications
* Qualified lawyer (preferably English law) with experience in securitisation and regulatory landscape.
* Experience with governance committees and control processes within financial services.
* Strong knowledge of UK regulatory framework.
* Proactive, organized, and excellent communicator.
* Ability to deliver solutions under pressure.
Desirable Skills
* Experience with Residential Mortgage Backed Securitisation, credit card trusts, and CLOs.
* Knowledge of derivatives and ring-fencing rules.
