Job Description:
We are looking for an Assistant Company Secretary join our Corporate Legal team. Reporting to the Global Affiliate Compliance Manager (based in London), you will be working with the organisations Corporate Legal team in a fast-paced business environment. As part of the role, you will be responsible for providing company secretarial services and governance support to a large and diverse portfolio of legal entities in the EMEA region.
Responsibilities:
* Supporting corporate restructuring including capital contributions, new entity incorporation, license expansion, shareholder changes and closure of dormant subsidiaries.
* Arranging subsidiary board and shareholder meetings, preparing resolutions and associated documents, co-ordinating the passing of resolutions by directors and shareholders and keeping up to date minute books.
* Responsible for compliance with the applicable corporate laws in each of the legal jurisdictions including filing of annual accounts, returns, license renewals, director changes and ad-hoc event driven changes in the legal entities arising due to corporate changes.
* Act as the a point of contact for all corporate legal matters in EMEA region.
* Assist with creating tailored advice with respect to corporate governance related risks, director’s duties, responsibilities and to contribute towards assessing personal liability of company directors and officers of the legal entities.
* Proactive company secretary support by developing and implementing improvement initiatives to further enhance company secretarial and governance oversight, working with the various tax, finance, and other business stakeholders.
* Support in pre, during and post board meeting related work including upload of all agenda, pre-reads on Diligent board portal and preparation of minutes.
* Ensuring the statutory corporate documents, licenses, registrations, and corporate records of the legal entities are being properly maintained, and that our entities meet their corporate statutory filing obligations.
* Responsible for providing all secretarial documents to statutory auditors and providing all clarifications from a company secretarial perspective.
* Keeping track of key legislatives change in the corporate laws and from time to time assessing its specific impact and preparing an action plan for the Company.
* Arranging for execution by directors and shareholders and organising the notarisation and legalisation of documents where required.
* Maintaining our online subsidiary database (Diligent Entities) for the in-scope legal entities.
* Managing external counsel engagements and liaising with the external company secretary suppliers to ensure effective and efficient corporate compliances.

Experience and minimum Qualifications:
* Degree in law and/or accounting and relevant legal professional / company secretarial certification with a minimum of 8 years of relevant work experience in multinational companies handling corporate governance matters across EMEA countries.
* Demonstrated ability to be proactive, self-driven with the capacity to work in a dynamic work environment.
