The role
As the senior member of the Legal team based in London, you will support investment, fundraising, and group activities across the European business. You will serve as a key partner to senior stakeholders, including investment professionals and capital formation teams.
Key responsibilities
* Work with the investment team throughout the lifecycle of an investment transaction to identify and address material legal issues.
* Handle agreements such as loan or credit agreements, receivables purchase agreements, joint venture agreements, guarantees, indemnification agreements, and purchase and sale agreements.
* Collaborate with the US team to support fundraising initiatives in Europe.
* Coordinate with external counsel on fund formation phases, including reviewing private placement memoranda and limited partnership agreements, negotiating side letters, and closing funds.
* Develop a strong understanding of fund structures.
* Manage governance of management company entities.
* Supervise another lawyer.
Experience requirements
* Broad experience in credit or lending transactions, preferably with exposure to multiple European jurisdictions.
* At least seven years of legal experience, including private fund management.
* In-house industry experience is highly preferred.
