Your New RoleWe’re seeking an experiencedernance professional to join our client's Secretariat team in Cardiff as Assistantpany Secretary. In this pivotal role, you’ll support thepany Secretary in delivering high-quality secretariat services, ensuringpliance with legal, regulatory, and corporateernance obligations across the organisation.Key responsibilities include:
1. Maintaining statutory registers and records for FCA Mutual Register andpanies House.
2. Advising on corporateernance matters, including the Building Societies Act and organisational rules.
3. Managing whistleblowing policy oversight and related procedures.
4. Planning and preparing for Board, subsidiary, andmittee meetings; attending, taking accurate minutes, and tracking actions.
5. Supporting the AGM process and maintainingernance frameworks and key corporate documents.
6. Assisting with the administration of the organisation’s insurance programme.
What You’ll Need to SucceedTo excel in this role, you’ll bring:
7. Significant experience working at Executive and Board level.
8. Strong knowledge of corporateernance, regulatory requirements,pany law, and building society law.
9. Proven ability to prepare agendas and produce accurate, high-quality minutes under tight deadlines.
10. Excellent interpersonal skills, with confidence to engage senior stakeholders and Board members.
11. High level of discretion, resilience, and sound judgment.
12. Strong organisational skills and IT proficiency (MS Word and Excel).
13. Ideally, Charteredernance Institute (CGI) qualification or working towards it, or other relevant legalernance qualifications.
