BCL Legal is pleased to be assisting a top-ranked international law firm with the recruitment of a Corporate Associate o Senior Associate to join its specialist Funds, Joint Ventures and Indirect Real Estate team. This is an exceptional opportunity for a lawyer seeking to focus on complex investment structures, fund-related arrangements and high-value joint venture vehicles. The Role
As a Corporate Associate/Senior Associate in this specialist team, your work will centre on corporate funds, joint ventures and indirect real estate. You will work closely with institutional investors, developers, fund managers and major corporates on sophisticated and high-profile matters.
Joint Ventures & Strategic Partnerships
You will have exposure to a wide range of joint venture structures across sectors such as real estate, life sciences, sports, infrastructure and mixed-use development. Examples of recent team work include:
· Supporting significant residential and regeneration partnerships, including institutional-backed affordable housing and build-to-rent platforms.
· Advising on high-profile sports and hospitality joint ventures, including equity arrangements for hotel or leisure developments.
· Acting on joint venture investments into corporate real estate vehicles and strategic land development platforms.
Funds & Private Capital
You will work on a variety of fund and investment matters, including:
· Advising institutional investors on investments into private funds, including cross-border vehicles such as Luxembourg structures.
· Drafting and negotiating investment agreements, shareholder arrangements, subscription agreements and associated fund documentation.
· Advising on governance rights, waterfall structures, investment protections and fund-level regulatory considerations.
· Supporting fund managers and investors in the establishment, structuring and operation of investment platforms.
Indirect Real Estate & Corporate Real Estate Vehicles
You will be involved in a significant volume of indirect real estate work, including:
· Structuring investments into corporate vehicles holding development land, real estate assets and strategic real estate interests.
· Advising on platform investments, joint venture vehicles and real estate-backed corporate structures.
· Supporting developers and investors on corporate aspects of major property transactions.
Corporate Structuring, Governance & Reorganisations
The role also includes advising on:
· Group reorganisations and simplification projects for major national and international clients.
· Corporate governance, shareholder arrangements and structuring across companies, LLPs, LPs and fund vehicles.
· High-net-worth and ultra-high-net-worth client work, including corporate structuring for investment, regulatory submissions and ownership reorganisations (including NSIA and Takeover Panel engagement).
Team & Client Development
· Opportunity to contribute to client training and governance presentations, including supporting training programmes for in-house counsel.
· Involvement in internal knowledge development, supervising junior team members and participating in innovation projects.
About You
To be successful in this Corporate Associate/Senior position, you will have:
· 3+ years’ PQE in corporate law, ideally with experience in at least one of: funds, indirect real estate, joint ventures, private capital or corporate real estate structures though general corporate experience is also welcomed.
· Strong drafting capabilities, particularly with shareholder agreements, JV agreements, subscription documents and governance frameworks.
· A genuine interest in complex structuring and investment work.
· Excellent commercial awareness and confidence working with sophisticated institutional clients.
· Ability to manage your own matters with partner support where needed.
· Strong organisation, communication and project-management skills.
· A collaborative, proactive approach and enthusiasm for client engagement and development.
