Specialist Focus: Health Services, Children’s Services, and Social Care
Overall Purpose
Prospero Group is seeking a skilled and strategic Non-Executive Director to support the Board of Directors and executive leadership team. This role will contribute to shaping the strategic direction of the organisation, ensure high standards of corporate governance, and provide specialist advice particularly in the areas of health care, children’s services, and social care.
As a Non-Executive Director of Prospero Group, you will help drive innovation, ensure accountability, and contribute to the continued growth and excellence of our services.
Time Commitment
* Minimum of 18 days per annum
Remuneration
* To be confirmed (based on experience and commitment)
Term of Appointment
* Appointments are typically for 1–2 years, subject to periodic review.
* Formal terms will be set out in a letter of appointment.
Key Responsibilities
* Fulfil all statutory duties of a director under the Companies Act
* Actively participate in Board meetings and relevant committee sessions
* Provide strategic insight and sector expertise to the Chief Executive, Managing Director, and Executive Directors
* Contribute to working groups, subsidiary boards, and advisory panels as required
* Support the Board in setting clear organisational objectives and monitor performance against them
* Participate in the development of company policy and strategy, including contributing to position papers and briefings
* Undertake relevant research and analytical reviews to support strategic decisions
* Represent Prospero Group at industry events, forums, and external engagements
* Champion the interests and mission of Prospero Group across all stakeholders
Person Specification
* Strong interpersonal skills with integrity, credibility, and a proactive, collaborative mindset
* Understanding of the Companies Act and governance responsibilities of a public-sector or health/social care service provider
* High level of commercial acumen with an entrepreneurial approach to challenges
* Proven ability to function effectively as part of a unified and results-driven team
* Demonstrated experience in senior management roles within medium to large organisations
* Sector-specific strategic insight and the critical skills to challenge and contribute to Board-level decisions
* Independent and objective thinker with a long-term strategic outlook
* Confident representing the organisation with shareholders, regulators, and other key stakeholders
* Strong commitment and energy, with the ability to stay informed and engaged in the company’s operational and regulatory context
* A commercial understanding of balancing public service ethos with sustainable business practices
