The role Job Title - Associate (2 – 4 PQE) Reports to - Commercial Property Partner/Team Lead Role This is a fantastic opportunity to join an established Commercial Real Estate team. The ideal candidate will be a qualified Solicitor with a minimum of 2 years of PQE, working within an accomplished city based Real Estate team. The team handle a broad range of real estate transactions and projects, including acquisitions and disposals, development and regeneration, joint ventures, leasing, as well as planning and environment aspects. There is a steady flow of new instructions from existing clients and the firm is seeking a motivated/technically strong Commercial Real Estate Associate with ambition who can develop relationships and will easily tap into a lucrative client base. Key Responsibilities and Accountabilities The candidate will have circa 2/3 years PQE experience and will be expected to have experience in the following matters (a) Asset management Dealing with licences to assign, underlet, alter and change use, including understanding of statutory framework (LTA 1988 and 1995 Act, particularly AGAs) and guarantees Acting for landlords and tenants on lettings, including contracting out procedure and negotiating with other side's lawyer Dealing with: Agreements to surrender and deeds of surrender Rent deposit deeds Wayleaves for telecoms providers and other utilities and other necessary documents (substation leases, leases/licences for EV charging points) Licence to occupy / tenancies at will /advising when need to contract out lease regears/deeds of variation/reversionary leases The candidate will: Have an understanding of green issues in relation to leases and licences eg MEES, EPCs, green lease drafting. Be familiar with LR practice guides and land registration rules and processes Understand VAT on property transactions and SDLT for all common real estate transactions Be familiar with HMRC manuals on VAT and SDLT (b) Sales/purchases Acting for a vendor on a sale including putting together sales packs, preparing replies to CPSE enquiries and preparing draft contract and transfers of whole; setting up/managing a data room Acting for a purchaser on a sale, including: Preparing report on title for a purchaser, including leases Carrying out all usual searches/other due diligence, considering the nature of the property and the deal and either choosing the relevant searches and enquiries; evaluating results/replies. Land registry and SDLT procedures Negotiating sale/purchase contract Granting and releasing charges in standard conveyancing transactions Having a general understanding/experience of elements of conveyancing transactions/procedures, roles of client, lawyers, surveyors and other professionals.
