Senior Legal Counsel
This is an exceptional opportunity to learn about the partner and OEM business of a large enterprise information software and cloud company, and meaningfully impact the company’s growth. It is an exciting time to join our team as we, among other things, look to support the newly launched OpenText Partner Network and an expanded product portfolio following the acquisition of Micro Focus.
You will be energized by working in an evolving organization and be capable of connecting business strategy to legal work. Reporting directly to and working closely with the Sr. Director, General Counsel, Partner & OEM business, you will also be part of a global yet close‑knit Legal team. This role will have both a U.S. and a global focus, and so you must be willing and able to work independently and communicate virtually with team members.
Responsibilities
* Work cross‑functionally with different departments to close deals and achieve the partner and OEM teams’ commercial objectives.
* Draft, review and negotiate a variety of agreements, including partner, reseller, distribution, OEM, SaaS subscription, license, master, professional services and privacy‑related agreements.
* Drive the legal team’s strategic initiatives, including development and implementation of processes that improve time‑to‑contract without material increases in risk.
* Provide practical guidance to the Partner, OEM, Engineering and other teams that balance business objectives and legal risk.
* Keep abreast of changing regulations, laws and industry standards.
Qualifications
* A minimum of 15 years of experience in commercial contracting, preferably in an in‑house setting.
* Experience with partner (reseller, technology partnerships, distribution agreements) and OEM agreements preferred.
* Experience with SaaS subscription agreements, software licenses, master and professional services agreements, and data processing agreements, as well as with anti‑trust, anti‑corruption and data privacy laws, preferred.
* A track record of good judgment and decision‑making in a legal role with meaningful responsibility.
* Membership in good standing with at least one state bar.
* Ability to work autonomously and independently drive high‑value projects to completion, with strong communication skills to effectively interface with non‑legal colleagues as well as external partners and customers.
