Summary
OneStream is seeking a Legal Counsel to join its Legal team. This role is well‑suited for a law student or attorney who is willing to roll up their sleeves and take on significant responsibility across several areas of the business, including contract negotiation, non‑disclosure agreements, software licensing, SaaS agreements, Cloud Services, and more. We’re looking for an intelligent, intuitive, caring individual who can communicate effectively with customers and who is able to "learn on the fly." Excellent legal writing is a must as well as solid organizational skills.
Primary Duties and Responsibilities
* Advising on all legal matters with focus on software licensing and sales matters for SaaS services, managed services, on‑premise software, and professional services.
* Negotiating and driving strategic transactions and a significant volume of sales agreements, and counseling sales and sales management on licensing, IP, commercial, data security, and privacy law topics.
* Co‑ordinating with stakeholders and subject‑matter experts in the legal department and across OneStream to drive transactions to successful completion.
* Contributing to projects that improve processes for reviewing, approving, and negotiating commercial and legal terms.
* Drafting, reviewing, and negotiating EMEA SaaS and software license agreements and amendments.
* Working with foreign attorneys on agreements.
* Drafting, reviewing, and negotiating NDAs, vendor agreements, and other commercial or corporate agreements.
* Providing support to sales and account managers on contract interpretation and disputes.
* Conducting legal research related to acquisitions and worker matters.
* Improving efficiency and compliance by altering processes and training the sales team.
* Collaborating with the Compliance Team on Privacy Shield, GDPR, SOC 2, SOC 1, HIPAA, and FedRamp compliance documents.
Required Education and Experience
* College diploma or Bachelor’s Degree in a technology‑related field or equivalent work experience.
* Law education, or equivalent from an accredited law school and licensed to practice law in the UK.
Preferred Education and Experience
* Minimum 1 year experience negotiating software or technology‑related license agreements.
* Demonstrated ability to quickly digest complex information and make informed decisions.
* Self‑motivated, high energy, and able to collaborate with different teams.
* Competency with common technology such as email, internet, Excel, and Word.
* Strong analytical, attention‑to‑detail, and problem‑solving skills.
* Strong written and verbal communication skills.
* Comfortable in a fast‑paced, evolving environment.
* Experience with data privacy laws is a plus.

* High degree of transactional independence, initiative, and judgment.
* Ability to deliver results as an individual contributor and as part of the global legal team.
* Capacity to lead projects and coordinate with external advisors.
* Strong analytical, attention‑to‑detail, and problem‑solving skills.
* Strong written and verbal communication skills, including drafting agreements and giving plain‑English advice.

* Comfortable in a fast‑paced, evolving environment.
