Why this job matters
UK Commercial M&A transactions are high-profile undertakings that require significant capital investment from BT and involve managing substantial legal liabilities. Each transaction is highly bespoke, often featuring complex, non-repeatable elements. The role holder is one of a select group of experts within the bid team, providing critical advice on both the commercial HR aspects and the regulatory implications and complexities associated with these transactions.
What You’ll Be Doing
* Lead on all HR aspects of M&A transactions, including acquisitions, divestitures, joint ventures, integrations, and large-scale people transfers.
* Work closely with senior colleagues in Legal M&A, Corporate Finance M&A, and Pensions to manage people risks and ensure smooth execution of transactions, including Transition Service Agreements and long-term commercial agreements.
* Build strong partnerships with internal teams, senior leaders, and external suppliers, influencing decision-making on employee experience, benefits, and risk management.
* Lead and coordinate short-term project teams, adapting to the specific needs of each deal.
* Engage regularly with senior leaders across the business, providing clear, concise briefings on complex issues, risks, and opportunities.
* Act as a trusted consultant, advising business units and HR teams on the HR elements of commercial projects and transactions.
* Deliver training and upskilling to key stakeholder groups on HR’s role, responsibilities, and risks in commercial transactions.
The Skills You'll Need To Succeed
* Proven track record of advising on and delivering the HR elements of major commercial transactions, including M&A activity.
* Strong understanding of strategic business goals and commercial operations, with the confidence to challenge decisions and ensure investment choices align with HR best practice and risk management.
* In-depth knowledge of people-related risks, with extensive experience leading HR due diligence on large-scale transactions.
* Demonstrated ability to deliver complex programmes or transactions on time, within budget, and to a high standard.
* Significant experience managing senior stakeholders (N-2/N-3 level) and subject matter experts in fast-paced, commercial project environments.
