SJP is seeking a highly skilled and experienced Senior Assistant Company Secretary to join our team. As a leading Wealth Manager, we are committed to delivering invaluable financial advice and services to our clients.
In this role, you will work closely with the Company Secretariat team, providing strategic governance advice and support to Directors and management within the St. James’s Place Group of companies. You will also lead and support key boards and committees, ensuring compliance with governance, regulatory, and legal requirements.
What you'll be doing:
1. Provide full company secretarial and governance support for key boards and committees.
2. Act as a subject matter expert, offering support and advice in a Company Secretarial capacity.
3. Lead training and induction for new directors/NEDs, including preparation for regulatory interviews.
4. Serve as a key contact and relationship manager for Non-executive and Executive Directors and senior stakeholders.
5. Identify and assess new rules and guidelines related to governance and regulatory requirements, communicating impacts effectively.
6. Assist with compliance to legislation, regulations, and governance guidelines, including MAR and the UKLA’s Disclosure Guidance and Transparency Rules and Listing Rules.
7. Manage interactions with the Group’s registrar and other third-party suppliers, leading projects related to Shareholder engagement.
8. Support the development of junior team members.
Who we're looking for:
1. Qualified Chartered Secretary and/or relevant legal qualification/experience with at least five years PQE.
2. Experience within a financial services organizational secretariat, ideally with FTSE 350 experience.
3. Extensive knowledge of UK corporate law, listing regime, FCA/PRA governance requirements, and corporate governance codes.
4. Strong interpersonal and influencing skills, with the ability to communicate effectively at all levels.
5. Excellent written and verbal communication skills.
