Position: Deputy Company Secretary
Location: Cambridgeshire (Hybrid)
Salary: £60,000–£85,000 per annum (DOE) + Bonus + Benefits
Contract: Permanent, Full-Time
We are exclusively supporting a leading technology company based in Cambridgeshire in their search for a highly capable Deputy Company Secretary. This is a unique opportunity to join a high growth, internationally active organisation and play a pivotal role in strengthening its governance framework. The role sits within a well structured Legal & Compliance function and reports directly into the Group General Counsel & Company Secretary.
This position is ideal for a governance professional who thrives in a dynamic PLC environment, enjoys broad company secretarial exposure, and wants to contribute strategically to board support, regulatory compliance, and corporate governance excellence.
The Role
As Deputy Company Secretary, you will be responsible for delivering high-quality governance and regulatory support across the group. Key responsibilities include:
* Preparing and coordinating board and committee papers, managing meeting logistics, and drafting detailed minutes across multiple committees.
* Managing share plan-related approvals, registers of interest, conflicts processes, and annual board evaluation cycles.
* Leading AGM preparation, including notices, logistics, and director briefing materials.
* Overseeing shareholder governance matters, including liaison with the company registrar and preparation of RNS announcements.
* Advising leadership on compliance with UK Listing Rules, MAR, and the UK Corporate Governance Code, and maintaining insider and project lists.
* Supporting the annual report process by coordinating internal teams, external designers, and auditors.
* Assisting with corporate transactions, including M&A, capital raising, and defence strategy projects.
* Ensuring compliance with listing obligations, regulatory submissions, and internal policies.
About You
Professional Requirements:
* Ideally a Fellow or Associate of the Chartered Governance Institute (CGI UK&I) or equivalent.
* Strong technical grounding in UK company law, UK Listing Rules, MAR, DTRs, and governance codes.
* Expertise in share plan administration and understanding of listed-company obligations.
Experience:
* 3 years plus years’ experience in a Deputy or Assistant Company Secretary role within a listed, PLC, FTSE environment
* Proven record supporting public company boards and committees.
* Experience running AGMs, working with registrars, and coordinating annual report processes.
* Exposure to M&A, corporate transactions, and audit engagement.
* Comfortable working flexibly during peak periods and travelling occasionally as required.
