The Location: This role is based in London, Victoria and offers hybrid working, with the majority of the working week (three days) spent in the office. There will be some flexibility, subject to further discussion with your line manager. The Role: Provide first class company secretarial support for a FTSE-100 listed entity with c400 subsidiaries. Leading on a wide range of company secretarial services administered by the department. Collaborating with a wide range of internal and external stakeholders including tax, finance, treasury, comms and operational teams, and lawyers, registrars, auditors and other advisers. Salar y: C ompetitive The Team: You will be a part of the Company Secretarial team of six, which forms part of a wider Governance and Compliance team. What you will be responsible for : Transactional support for ad hoc projects including group simplification, disposals, acquisitions. Dividend programme management. Assisting on the drafting of the annual report and accounts, associated documentation, and the reporting assurance process. Assisting on AGM arrangements. Dealing with shareholder queries. Share register management. Management and updating of group structure charts. Company secretarial input into the subsidiary statutory accounts process and general subsidiary governance. Management of MAR related administration. Management of the financial calendar and corporate calendar. Company secretarial support for the group's joint ventures. Company secretarial support for the groups option plans. Data privacy compliance. Monitoring developments in governance, compliance and information and adopting best practice. Providing support and assistance to the Company Secretary and the Deputy Company Secretary in servicing the PLC Board and its Committees, and internal governance forums. Assisting the Company Secretary on compliance and policy matters. Your skills, experience and qualifications: Essential criteria Qualified Company Secretary with post qualification experience Experience of subsidiary compliance including dissolutions, capital restructures, unusual structures and statutory accounts.
