Senior Assistant Company Secretary Job Description
This role is vital in a global FTSE100 retailer, ensuring the effective operation of the company secretarial team. You will support a growing team in a dynamic, entrepreneurial environment. The role offers diverse responsibilities and opportunities for development.
Reporting to the Deputy Company Secretary, you will handle various company secretarial duties. This position is suitable for an ambitious, capable, and diligent candidate eager to improve governance and compliance processes within the Group. It is a hybrid role based in Bury, Manchester.
Accountabilities:
1. Manage end-to-end board and committee processes, including drafting agendas, preparing board papers, and uploading documents to our portal.
2. Oversee UK and international subsidiaries, ensuring compliance with global governance standards.
3. Handle daily Market Abuse Regulation compliance, including maintaining insider lists and monitoring training.
4. Assist with the preparation of the Annual Report & Accounts, liaising with auditors and stakeholders.
5. Lead shareholder meetings such as the AGM.
6. Manage director induction, training, and conflict registers.
7. Lead corporate projects like legal entity rationalisation.
8. Monitor and enhance corporate governance arrangements.
9. Collaborate with other departments to provide secretarial support, including M&A activities.
10. Support and mentor team members.
11. Deputise for the Deputy Company Secretary when needed.
Minimum Requirements:
* CGI qualified (essential)
* At least 8 years of experience in a company secretarial role
* Strong understanding of governance and regulatory requirements for listed companies
* Excellent attention to detail and organizational skills
* Ability to build relationships with stakeholders
* Line management or mentoring experience (desirable)
