Sopher + Co is seeking an experienced Company Secretarial Senior Manager to join our team in Borehamwood. Reporting to the partners, you will work within a team of three, delivering services to a growing portfolio of UK entities and contributing to the department's development and success.
Your duties will include, but are not limited to:
1. Providing advice on company secretarial matters and acting as a technical contact point.
2. Managing a portfolio of clients and ensuring smooth department operations.
3. Overseeing statutory register maintenance for clients' companies and LLPs, ensuring compliance and data accuracy.
4. Collaborating on SEIS and EIS applications with the tax department.
5. Handling complex corporate actions and filings, such as capital reductions, share reorganisations, and share-based incentives.
6. Preparing CAP tables for restructures and external investments.
7. Managing share transfers, stamp duty payments, and company deregistrations.
8. Assisting with amendments to articles of association and timely filings with Companies House.
9. Preparing dividend documentation and basic company changes.
10. Maintaining the department's template library.
11. Ensuring legal and regulatory compliance for UK establishments of overseas companies.
12. Collaborating on client onboarding and annual KYC reviews, providing guidance as needed.
13. Ensuring internal compliance with AML, KYC, and related tasks.
14. Building relationships with stakeholders, including regulatory bodies and clients.
15. Focusing on departmental growth and increasing fees by 20% annually.
16. Upselling and cross-selling services, representing the firm externally.
17. Enhancing the firm’s profile through blogs, training, and presentations.
18. Introducing new ideas, initiatives, and technology to improve the department.
About you
We need you to be detail-oriented with the ability to identify inaccuracies and resolve issues efficiently. Strong interpersonal, communication, and deadline management skills are essential. You should be able to network internally and externally and apply your expertise effectively. Additionally, you will need:
* An ICSA Fellow or equivalent senior qualification.
* Strong technical knowledge of company secretarial practice, including drafting articles and handling corporate procedures.
* Experience in a similar role within a company secretarial department or professional services firm.
* Good understanding of the Companies Act 2006 and secretarial administration.
* Excellent compliance knowledge related to client onboarding, AML, and KYC.
* Proficiency in Diligent, CCH, and other secretarial software.
* Advanced skills in Excel and Microsoft Office.
