Job Description
The Corporate Associate will handle varied matters:
1. Advise clients and execute capital markets transactions, assisting clients with their compliance, SEC, FINRA, Stock Exchange and other related securities matters.
2. Assist clients with IPO and SPAC work, secondary offerings, resales, registered direct offerings, PIPE financings, private placements and sales of securities.
3. Draft and review complex legal documents including registration statements, private placement memorandum, purchase agreements, warrant agreements, convertible notes, registration rights agreements and other documents required for offerings of securities.
4. Assist clients with forming new entities, LCC agreements and related documents.
5. Draft and review comfort letters, cirlce ups, legal opinions and certificates.
6. Work with issuers, investment banks, auditors and financial advisers, managing deal execution.
7. Communicate on behalf of clients with SEC, FINRA and Stock Exchanges to obtain required clearances.
8. Draft compliance documents for NYSE and NASDAQ filings.
9. Assist clients with preparing and drafting public disclosures, securities filings, proxy statements, Forms 10-K, 10-Q, 8-K and Section 16 filings.
10. Build and maintain strong client relationships through effective communication and legal expertise.
11. Stay updated on emerging legal trends and regulatory changes in the capital markets industry.

Candidates must be based in New York/ Tri-State area, able to work from the Midtown office 3-4 days per week, and have US work authorization now and indefinitely.
