Overview
This is a role for a joint Non-Executive Director with a finance background to sit on the Boards of both Wirral University Teaching Hospital (WUTH) and Wirral Community Health and Care (WCHC). It is expected that the Finance focused Non-Executive Director will chair the Finance Committees for both Trusts and will support the organisations in external financial meetings and discussions, where appropriate. The Finance focused Non-Executive Director will have significant experience of NHS Finance and be able to communicate clearly and effectively on finance related issues, and both Trusts’ financial positions, risks, opportunities, and challenges. To support the Trusts by contributing to and supporting the Boards of both organisations.
Responsibilities
* Provide independent scrutiny and contribute to directing and supervising the affairs of both Trusts, ensuring high standards of patient care, financial viability, and probity.
* Chair key committees of the Board of Directors and act as an advocate to position the organisation within the local health and social care economy.
* Ensure governance compliance, robust strategies, achievement of business plans, protection of stakeholder and patient interests, and alignment with organisational objectives and legislation.
* Provide leadership to ensure each Trust exercises its functions effectively, efficiently, and economically.
* Play a pivotal role in determining and delivering each Trust’s vision and strategy amidst regulatory pressure.
* Attend and contribute to Board meetings, governance committees, and Board development activities; attend annual members’ meetings and meetings with the Council of Governors as appropriate.
* Advise on issues relevant to specific skills, expertise and experience; act as an ambassador for each Trust's strategy; monitor delivery of the Annual Plan; assist with commercial development reviews in response to commissioners’ requirements.
Strategy and Performance
* Contribute to setting each Trust’s strategic vision, aims and objectives and ensure necessary resources are in place.
* Monitor delivery of the Annual Plan and undertake, where appropriate, wide-ranging reviews of commercial development.
* Ensure each Trust operates effectively, efficiently, and economically; maintain continuing financial viability and long-term sustainability; meet financial and quality targets for stakeholders within available resources.
Governance and Remuneration
* Maintain a comprehensive framework of governance and internal control; ensure effective risk management and regulatory compliance.
* Ensure safe, compassionate, patient- and family-centred care; work with the Council of Governors to promote Foundation Trust members’ interests.
* Determine appropriate remuneration for Executive Directors (through the Remuneration & Terms of Service committee).
* Ensure timely information flow and appropriate assurances from committee chairs and members; engage with key stakeholders.
Qualifications and Personal Qualities
* Significant NHS Finance experience; ability to communicate clearly on finance-related issues and the financial positions, risks, opportunities and challenges of both Trusts.
* Independent minded, with integrity and the respect of other Board members.
* Ability to analyse Board papers and statistics and extract necessary knowledge while respecting executive responsibility.
* Ability to establish and maintain structured contact with fellow Non-Executive Directors and model Trust values.
* Willingness to engage with stakeholders, including the Council of Governors and public membership, and to participate in engagement events and activities.
* Commitment to high standards of corporate governance and personal integrity.
