Senior Legal Counsel - Commercial Contracts
About this role
Capital One is seeking an experienced in-house commercial contracts solicitor within the UK Legal Team, to lead technology contracts for the UK business. Reporting to the head of UK Contracts, you will provide legal advice on supplier contracts including SaaS agreements, software licenses, outsourcing contracts, and IT infrastructure arrangements, along with other commercial matters.
The Contracts team plays a key role in managing supplier risk, ensuring robust contracts in our financial services environment. We seek a team player with excellent communication, contract drafting, negotiating skills, and commercial acumen. This is an exciting opportunity for career growth.
What you'll do
1. Prepare and negotiate contractual arrangements such as services agreements, outsourcing agreements, SaaS, software licenses, and related terms, following company precedents.
2. Support US Legal and supplier management teams with UK aspects of global agreements, focusing on SaaS.
3. Manage contractual workstreams for the technology department, collaborating with supplier management and business teams to ensure timely execution aligned with business priorities.
4. Advise on legal, regulatory, and strategic risks related to third-party contracting, outsourcing, data protection, intercompany agreements, and international matters.
5. Supervise and mentor junior team members in contract negotiation, drafting, legal research, and advice.
6. Develop and maintain relationships with stakeholders, including suppliers, sourcing managers, and business managers in the UK and US.
7. Identify and assess new laws, provide training, and advise on legal risks for new tech initiatives.
8. Manage external counsel input when needed.
9. Proactively manage workload and communicate progress to stakeholders.
10. Ensure compliance with contract procedures and policies, escalating risks appropriately.
11. Support personal and team development through feedback, coaching, and mentoring.
What we're looking for
* Qualified solicitor with significant experience in drafting and negotiating complex commercial and technology contracts, with a strong understanding of data protection law.
* In-house experience preferred, ideally within financial services, but not essential.
