Within this role you will be responsible for advising on legal affairs and legal risk management relating to Corporate matters, within all global regions outside of the Americas. Reporting to the Associate General Counsel, you will: Lead and manage Corporate group reorganisations and restructuring, both in the UK and internationally Advise on, including the running of, a wide range of transactions, including M&A and post-acquisition integrations Be responsible for preparing Corporate legal documentation, including board/ shareholder resolutions, and delegations of authority Liaise with internal stakeholders, such as Finance, Tax and Treasury, on Corporate matters Be responsible for running and managing group entities, and opening and closing of the same (including managing related corporate governance and board approval processes) Be accountable for instructing and managing external legal counsel, as required Support the Associate General Counsel on ad hoc queries/ projects Ensure high standards of corporate governance to meet statutory obligations at all times What we would like you to demonstrate… You will be a qualified Solicitor, admitted in England & Wales, with Mid-Level post-qualification experience in a Corporate Law department. You will have experience of dealing with international Corporate matters and managing overseas counsel (essential). Preferred (but not essential) would be experience of working in an in-house Legal team. Experience of working abroad or in a foreign language is also desirable. In addition to the above, you must also be able to demonstrate you are/ have: Educated to degree level A proactive and adaptable approach, with the ability to prioritise between competing business demands Tenacious with high attention to detail, strong technical/ legal, drafting and organisational skills Credibility to develop strong relationships with senior stakeholders, including confidence to challenge, as appropriate Strong interpersonal and collaborative skills including communicating with individuals of a range of seniority within the business The ability to listen, clarify, understand and efficiently follow directions The ability to use your own initiative and work autonomously, under pressure and meet deadlines Excellent communication skills, both written and oral, to manage working with colleagues based around the UK and abroad Imagine a better future for you and a better future for us all.
