About the Role
The position sits at the heart of corporate operations within Synamedia, working closely with the Board, its Committees, Legal, Finance, Tax and Treasury and is responsible for developing and implementing processes to promote and sustain good corporate governance.
Responsibilities
* Support the CFO on the task of main company board and subsidiary company board governance
* Manage the Global Company Secretarial function including maintaining the group structure chart for a portfolio of 24 global companies and branches, ensuring best practiceof corporate governance.
* Proficient with systems such as Diligent Software (previously Blueprint).
* Maintaining the digital statutory books and company records, including a register of all shareholders, past and present, and their shareholdings and contact details.
* Manage all company filings (Companies House, Guernsey Registry) including managing the shareholders’ registers, production of shareholder documentation, changes in share capital, allotment of shares, appointment and resignation of directors.
* Processing share sales, disposals, legal entity incorporations, branch registrations, strike-offs, dissolutions, liquidations and de-registrations of domestic and overseas legal entities, branches and permanent tax establishments.
* Drafting of statutory and corporate documentation including board minutes, written resolutions, proxies, powers of attorney, parent company guarantees, loan agreements, memorandum and articles of association, investment agreements, share purchase agreements, inter-company agreements and engagement letters.
* Assist the finance and tax teams in the production of the annualfinancial statements and responding to audit enquiries.
* Supporting the group’s finance, accounting, tax and treasury teams on Corporatetransactions and due diligence work, i.e. acquisitions, divestments, special projects and re-financing etc. Activities to include:
* Stakeholder coordination
* Act as the central point for gathering and organising corporate records across all group entities (articles, certificates, registers, etc.).
* Coordinate responses to legal and financial due diligence questionnaires.
* Maintain a data room or virtual data room, ensuring all company secretarial documents are accurate and up to date.
* Support the drafting and execution of SPA (Sale and Purchase Agreement) and other transaction documents.
* Manage closing deliverables, including board/shareholder approvals, certifications, and legal sign-offs.
* Coordinate post-completion filings and restructuring (e.g., filings at Companies House, share certificates, resignations/appointments).
* Execution of and arranging for legal documents (e.g. NDAs, contracts, deeds etc.) to be digitally signed (i.e. via DocuSign) by the CFO and other statutory directors.
* Renewing Data Protection registration in the UK.
* Point of contact for company law enquiries from stakeholders, external counsel, in-house lawyers, overseas agents, banks and other external and internal clients.
Skills Required
* You will be a qualified Chartered Secretary and will have held the office of assistant company secretary for a minimumof 3 years and demonstrate your expert knowledge of company law and corporate governance and be able to work independently;
* Understanding and experience of the PE investment lifecycle, including private equity exit strategies (trade sale, IPO, secondary buyout);
* Experience in global businesses operating in multiple jurisdictions;
* A commercial frame of mind;
* A sound academic background;
* A solid understanding of corporate governance issues;
* The ability to prioritise and to work well under pressure;
* Integrity and discretion when handling confidential information;
* Attention to detail and have a well-organised approach to work;
* Flexible, adaptable and personable with strong communication skills;
* Interpersonal skills and the ability to work well with people at all levels;
* The capability to work with numerical information, plus analytical and problem-solving skills;
* Ability to work independently on own initiative to tight deadlines in a fast-paced environment;
* A diplomatic approach and the confidence to provide support to the board, our shareholders, the executive leadership team and other teams in the business.
