Job Description:
Our market-leading Sale and Purchase Agreement Advisory team at Grant Thornton is hiring at Manager grade to continue our rapid growth. We operate within the wider Deals Advisory and Consulting service line.
We seek Managers with the technical and commercial skills to optimize value for clients involved in acquisitions and disposals. Candidates should have experience with mergers and acquisitions, understanding of completion mechanisms, enterprise value (EV) to equity value bridges, financial aspects of Sale and Purchase Agreements (SPA), and experience assisting buyers and/or sellers with preparation, review, or dispute of completion and earn-out accounts.
An SPA Manager/AD should be capable of handling transactions with minimal partner involvement, interfacing with client management and professionals, knowing when to seek advice, and demonstrating commercial ability.

A look into the role
As a SPA Manager/AD, you will:
1. Act as a second-level client relationship manager, primary contact in their absence.
2. Build trust with clients by understanding their perspectives and keeping them updated.
3. Identify and resolve risk management issues, involving senior staff when needed.
4. Draft engagement letters and ensure completion before review and submission.
5. Understand technical issues, propose solutions, and seek advice when necessary.
6. Produce high-quality financial analysis with minimal input.
7. Draft fee estimates and budgets for review.
8. Present conclusions and recommendations to clients, discussing implications.
9. Monitor assignment costs versus budgets, challenging team charges when appropriate.
10. Understand and actively promote the firm’s products, services, and capabilities.
11. Engage in self-development through performance reviews and PDP processes.
Knowing you’re right for us
The minimum criteria include a professional qualification (ACA, ICAS, CA, ACCA, or CIPFA) with post-qualification experience and confidence managing a large portfolio of audit clients.
Preferred skills (not mandatory):
* Experience with EV to equity value bridges
* Advising on financial and accounting aspects of sales and purchase agreements
* Experience with review or dispute of completion and earn-out accounts
