LI-Hybrid LI-Remote The Role The successful candidate will support the activities of Wood’s Corporate Secretariat by managing an international portfolio of companies by ensuring that corporate compliance requirements are met in each jurisdiction and subsidiary records are well-managed and up to date. You will provide governance advice to support local and international operations, intra-group and external transactions and decision-making by directors and shareholders. What we can offer Meaningful and interesting projects we support green hydrogen and fuel switching, as well as supporting local clients with energy transition Flexible working arrangements that balance client, team and individual needs offering hybrid working arrangements Commitment to Diversity and Inclusion ; we are an organisation actively committed to diversity and inclusion across our business with employee networks committed to giving all employees a voice Competitive salary with regular salary reviews to ensure we are rewarding at the right level in line with the market Flexible benefits package ; inclusive of 33 days annual leave (including public holidays), generous contributory pension scheme, private medical cover, 4x base salary life insurance; all of these and more that can be adapted to suit your own lifestyle Commitment to continued professional development; development plans that are tailored to your individual needs and interests Global connections ; join experts around the world who are at the leading edge of our industry, shaping the standards of our profession Responsibilities The Subsidiary Governance Associate will join UK-based Corporate Secretariat and their primary responsibilities will include: Completing and overseeing corporate compliance activities across EMEA and/or APAC regions Engaging and supporting colleagues discharging corporate compliance responsibilities in overseas jurisdictions Oversight of Outsourced Service Providers (OSPs) supporting on company secretarial matters Maintenance of Wood’s Entity Management Platform, including transition and transformation activities Drafting of documentation on routine corporate matters such as dividend payments and share capital changes Providing planning and execution support on corporate restructuring, refinancing and simplification projects Supporting power of attorney and document execution processes Responding to information requests to support KYC and due diligence exercises Preparing and reviewing internal governance proposals and facilitating approval by senior management Reviewing and supporting the approval process of statutory accounts This role will also support the Head of Corporate Governance in the design, implementation and operation of Wood’s Entity Governance & Compliance Framework (EGCF), which will require: Establishing and overseeing an effective assurance framework for the EGCF Engagement with key business and functional stakeholders to establish an entity-focused mentality across the organisation Design and roll-out of an effective training programme to subsidiary Directors Refinement and oversight of key governance policies and procedures on matters such as delegations of authority and PoAs, document execution, granting of parent company guarantees etc. Enhancing the governance of operating entities, including implementation of corporate change and board support protocols Qualifications At Wood, we are committed to equal opportunities and welcome all talented individuals to consider joining our team. Expected: Proven experience in a company secretarial or entity management role Working knowledge of the Companies Act and company secretarial practices/ procedures Confident user of Diligent Entities and Microsoft Office The ability to work with the utmost integrity in a fast-paced, dynamic, challenging environment A flexible and positive attitude combined with a willingness to get involved with both routine tasks and ad-hoc projects Strong written and verbal communication skills Strong planning and organisational skills with an attention to detail Excellent interpersonal and stakeholder management skills Desirable: Chartered Secretary qualification / Corporate Governance Masters (or working towards) Experience of working with multinational group structures and delivering/overseeing global entity compliance Working knowledge of authorised signatory, delegated authority or PoA processes Experience supporting corporate transactions, restructuring projects or similar
