Legal Counsel, Private Equity 5 PQE SSQ is partnering with a leading global UK HQ private equity investor in the software sector. As their business continues to scale at pace, the sophistication and complexity of their corporate structure and contractual relationships increases, hence the need for them to recruit their first in-house corporate / commercial lawyer to take ownership of driving best practice in all elements of the “house”, working alongside a team of other specialist lawyers. This is a role for a technically excellent, collaborative lawyer who will excel in a matrix, fast-paced environment, building relationships with multiple stakeholders and have the proactivity to make this role their own. You will be expected to be in the London office a minimum of 3 days / week. Role Responsibilities: Collaborating with various internal teams such as Compliance and Finance to conduct legal entity management Drafting all manner of commercial contracts including software licenses and supplier agreements and inputting into procurement process design and management Management of IP, protecting the firm’s brand, trademarks and proprietary materials Managing and resolving property-related disputes and litigation matters, ensuring effective legal strategies are in place Overseeing office lease agreements across multiple international locations, coordinating with internal stakeholders and external counsel as needed Developing and implementing standardised templates, playbooks, and contract management processes to support operational efficiency Assisting in drafting and negotiating data processing agreements, working closely with the in-house DP specialist Candidate Requirements: A minimum of 5 years’ corporate and commercial legal experience including time recently spent with a major UK / US law firm and the right to practice in England & Wales Experience of working with clients in the professional or financial services sector. Experience of working with private equity clients is highly desirable The confidence to handle multi-jurisdictional matters Strong technical understanding of corporate governance frameworks and best practices Proven ability to draft and negotiate complex commercial contracts with a commercial and solutions-oriented mindset Solid knowledge of IP law and DP regulations, including GDPR Experience with procurement frameworks and vendor management processes is an advantage For more information about this role and how to apply, please email me and be assured of complete confidentiality, at laura.field@ssq.com
