MAIN DUTIES & RESPONSIBILITIES:


Responsible to: CEO

Job Purpose: The Governance Manager will ensure robust governance and regulatory compliance across IMPAKT Housing & Support. The post-holder will support the CEO and the Board of Trustees, manage statutory and regulatory compliance (including with the Regulator of Social Housing, Charity Commission, and Companies House), and lead the implementation of governance best practice.

This role is critical in helping the organisation remain accountable, transparent, and aligned with its mission and legal obligations.

Main Duties and Responsibilities:


Board Support

* Provide professional support to the Board of Trustees, including agenda planning, preparation of papers, accurate minute-taking, and tracking of follow-up actions. The Board meets on Monday evenings five times a year.
* Ensure meetings are well-organised, efficient, and comply with constitutional and legal requirements.
* Support effective communication between Trustees, the CEO and the Executive Team.


Governance & Regulatory Compliance

* Ensure compliance with all relevant governance and regulatory requirements, including those of:
* – The Regulator of Social Housing (RSH)
* – The Charity Commission
* – Companies House
* Maintain statutory registers and ensure timely and accurate filing of annual returns, accounts, and other statutory documents.
* Keep up to date with regulatory changes, including updates to the RSH Standards and Code of Governance, advising the CEO, Board and Executive Team accordingly.
* Lead the organisation's preparations for regulatory returns, regulatory engagement, and responding to In-Depth Assessments (IDAs) or other reviews by the RSH.


Risk & Assurance

* Maintain and coordinate the corporate risk register with the Executive Team and Board.
* Ensure governance and compliance risks are identified, reported, and managed effectively.
* Support internal audit processes and the implementation of audit recommendations related to governance.


Trustee & Governance Development

* With the Chair and the CEO, lead the induction and ongoing development of Trustees to ensure they are equipped to discharge their responsibilities, including training on RSH requirements.
* Maintain a register of interests and manage annual declarations and skills audits.


Organisational Governance Support

* Provide advice and guidance to staff and management on governance policies and processes.
* Review and update governance policies and procedures, ensuring alignment with sector standards (e.g. Regulator of Social Housing, Charity Commission and Companies House).
* Promote a strong governance culture throughout the organisation, supporting ethical leadership and accountability.
* Liaise with the CEO and Executive team to review and take the lead for keeping the Annual Plan up to date.

* Abide by the organisation's staff working policies and procedures.
* Promote the vision and services delivered by the organisation.
* In addition to the duties set out in this job description, the post holder may at times be required to undertake additional or other duties to meet the needs of the organisation.

SKILLS & EXPERIENCE REQUIRED:


Person Specification:

Essential:

Desirable:

Experience in governance support or corporate governance, ideally within a housing association, charity, or public sector organisation.

Strong understanding of regulatory frameworks applicable to housing providers, including the Regulator of Social Housing and the Charity Commission.

Excellent written and verbal communication skills, including experience writing formal reports and minutes.

High level of organisational skills and attention to detail.

Ability to handle confidential information with integrity and professionalism.

Proficiency in Microsoft Office and digital governance tools.

Experience in governance support or corporate governance, ideally within a housing association, charity, or public sector organisation.

Strong understanding of regulatory frameworks applicable to housing providers, including the Regulator of Social Housing and the Charity Commission.

Excellent written and verbal communication skills, including experience writing formal reports and minutes.

Ability to work outside of office hours five times a year.

Experience working with a Registered Provider or with Boards in a regulated environment.

Understanding of supported housing or homelessness services.

Company Secretary experience or qualification.

Chartered Governance qualification (e.g., ICSA/The Chartered Governance Institute).

Familiarity with the Regulator of Social Housing Governance Standards.
