Description
Our client is seeking an experienced and motivated Assistant Company Secretary to join their UK Governance Team within the People, Governance & Communications function. This is an exciting opportunity to be part of a high-performing, collaborative governance team supporting a major UK financial institution, its subsidiaries, and Board committees.
Working closely with senior leaders and the Head of Risk, Nominations and Remuneration Governance, you'll play a key role in delivering world-class corporate governance and company secretarial support across the business.
Key Responsibilities
* Provide proactive corporate governance advice and company secretarial support to the UK Board, its Committees, executive management and subsidiary entities.
* Support the planning, coordination and delivery of Board and Committee meetings including agenda drafting, meeting packs, minutes and action tracking.
* Maintain statutory compliance, filings and corporate records across multiple entities.
* Assist with annual reviews of terms of reference, board and committee effectiveness and governance frameworks.
* Support onboarding, induction and engagement of Non-Executive Directors.
* Contribute to governance sections of annual and interim reporting, disclosures and regulatory submissions.
* Act as named Company Secretary for certain UK subsidiaries, providing end-to-end entity management.
* Build trusted relationships with stakeholders across governance, risk, legal and regulatory functions.
Skills, Knowledge and Expertise
* 2–3 years' experience within a Company Secretarial or corporate governance role.
* Qualified or part-qualified Chartered Secretary (CGI or equivalent).
* Experience in a complex or regulated organisation financial services experience desirable.
* Strong understanding of UK corporate governance frameworks and statutory requirements.
* Excellent communication, drafting and stakeholder management skills.
* Exceptional attention to detail and a proactive, solutions-focused approach.
* Ability to manage multiple priorities in a fast-paced, confidential environment.
* Proficient in Microsoft Office and entity management systems.
