Band 9/ VSM Director of Corporate Governance
The Director of Governance is a critically important role within the Trust, in that it will facilitate the effective working of the Chair and Chief Executive with both internal and external stakeholders and will allow them to fulfill their commitments to the Trust and the Board. The post-holder will report to the Chief Nurse & Deputy CEO but will have dual accountability to the Chief Executive and the Chair.

What you'll be responsible for:
Establish and monitor the effectiveness of all corporate governance arrangements to ensure the Trust is compliant with all relevant legislation and all aspects of the corporate governance framework, including ensuring the Board is fully informed on these matters.
Provide authoritative advice to Chief Executive, Chair and Board on legal, constitutional matters, correct and proper conduct of business and meetings. Commission and provide briefings for external legal advice where necessary to ensure the efficient and effective resolution of issues.
Provide support and advice to the Chair and Chief Executive (and the wider Board), acting as confidential sounding board to ensure that the corporate affairs of the Trust are undertaken to the highest standards of probity and in line with statutory and legislative requirements.

* Assess and advise on the governance implications of papers put to the Board.
* Ensure the provision of induction, development, support and advice to Non‑Executive and Executive Directors.
* Be responsible for the effective functioning of the committees of the Board, ensuring that they are properly constituted, providing advice and ensuring actions are followed up.
* Ensure the Trust has effective arrangements in place to maintain high standards of corporate governance, continuously improving in line with new requirements and best practice.
* Act as Trust lead point of contact to respond to, and resolve, enquiries from members of staff in relation to corporate governance.
* Facilitate good information flow between Board members, the committees and senior management.
* Ensure there are appropriate mechanisms in place to monitor and report upon compliance with the Fit and Proper Persons regulations.
* Work with the Medical Director, Chief Nurse and Associate Director of Quality Governance to ensure appropriate and robust quality governance arrangements are in place within the Trust.
The role will involve, but not be limited to you performing the above.
