To support the Assistant Company Secretary in the day to day management of the Group's subsidiaries. Including carrying out event driven filings and maintaining company records for all Group companies in line with law and regulation. This might include: Confidentiality registers; Conflicts of interests register; Persons with Significant Control; Annual Confirmation Statements; Director Training Records; Director and Share Registers; and Close Links Register You will support the Group Company Secretary in the training of the Board Directors and induction of new Directors, including timetabling training and ensuring all relevant requirements of the Senior Manager & Certification Regime (SM&CR), UK Corporate Governance Code and other relevant regulation are fulfilled. You will assist the Group Company Secretary and Assistant Company Secretary to build the Board and Committee packs. Including liaising with Executive (PA) support in the distribution of packs. You will support the Group Company Secretary in the day to day management of certain committees (incl. production and circulation of packs, actions and follow-up for monthly meetings). Management of Board Intelligence (Board pack software), including creating and uploading packs, user and shelf management and provision of additional resource information for the Board and Executive Committee. Assist the team with ad-hoc projects as required. The Person Ideally (but not essential) previous paralegal/governance experience. ICSA qualified/part-qualified Interest in corporate governance and company law Adaptable and flexible. Keen to Learn Excellent verbal and written communication skills. Ability to work as part of a team. Practical approach to resolving problems. Excellent planning and organisational skills. Able to work under pressure and to tight deadlines.
