We’re launching a specialist REIT to give investors clear, confidence-inspiring access to early-stage life-science funding. By pooling capital from our property acquisitions, this vehicle will channel the majority of its proceeds into building a Class II laboratory in the Midlands. At the same time, the REIT underwrites a mission-driven project that slashes cancer diagnostic turnaround times, strengthens employment in the regional pathology workforce, and eases pressure on the NHS—all delivered through a transparent, regulated structure with robust governance and liquidity. This REIT will serve as the cornerstone of our life-science initiative.
This REIT is part of a large-scale project designed to serve the public interest; as such, it represents our inaugural step.

Part-Time Legal Director – Real Estate Transactions & REIT Structuring
Status: Part-time / Project-Based
Location: Hybrid / Remote (UK-based)
Role Summary
As Legal Director, you will lead all legal workstreams associated with our vendor-financed, lease-option property acquisitions. You’ll also lay the legal groundwork for our REIT transition, ensuring full compliance with UK property, tax, and corporate regulations. Your input will be essential before deal completion, supporting negotiations, due diligence, and HMRC clearance.
Key Responsibilities
* Draft and negotiate lease-option agreements, vendor-financing instruments, and security documentation (legal charges, guarantees, priority agreements).
* Review and manage title issues, restrictive covenants, and Land Registry filings.
* Design default remedies and repossession mechanisms that balance investor and vendor protections.
* Support structuring of SPVs, ensuring REIT compatibility from inception (ownership restrictions, property tests, distribution compliance).
* Coordinate with external counsel on SDLT, VAT, corporate law and REIT elections.
* Prepare legal memos and submissions to HMRC and other public authorities.
* Track transaction progress and maintain a risk register on contractual milestones.
Ideal Profile
* UK-qualified solicitor (or barrister) with 5–10+ years in real estate law and structured finance.
* Direct experience with lease-options, deferred consideration, and vendor-secured acquisitions.
* Familiarity with REIT formation, FCA/LSE regulation, and UK tax law.
* Comfortable operating with lean in-house teams and managing multiple external counsel.

* Scope to convert to salaried Legal Counsel as portfolio scales

Role Summary
You will build the finance framework around our acquisition model—including staged payments, vendor loans, and capital allocation—and prepare the company for REIT qualification. Your expertise will ensure that all deals are SDLT and IFRS-compliant, with clear visibility on tax, cash flow, and equity returns.
Key Responsibilities
* Set up financial systems and ledgers for new SPVs and properties under lease-option or vendor-financed acquisition.
* Lead treatment of vendor-financed debt, IFRS 16 lease accounting, and contingent consideration.
* Forecast cash flow under phased ownership and rent-based repayment models.
* Prepare REIT-compatible accounts, including distribution tracking and balance sheet consolidation.
* Liaise with HMRC for SDLT, VAT and REIT tax treatments; prepare clearance requests as needed.
* Provide pre-acquisition financial analysis and due diligence for investment committee.
Ideal Profile
* ACA/ACCA/CIMA-qualified accountant with 7+ years in real estate or REITs.
* Proven experience building finance models for multi-asset portfolios and phased purchases.
* Deep understanding of UK tax and accounting for lease-options and deferred consideration.
* Can work independently and translate complex financials for legal and investor audiences.

Technical Due Diligence Director – Property Assessment & Risk Advisory
Status: Part-time / Project-Based
Location: UK-wide with occasional site visits
Role Summary
As Technical DD Director, your role is to provide pre-acquisition surveys and analysis for purpose-built student accommodation (PBSA) and life sciences conversions. You’ll ensure that assets acquired under lease-option structures meet structural, environmental, and regulatory standards—enabling long-term investment stability and REIT eligibility.
Key Responsibilities
* Conduct and compile full condition surveys, including M&E, fabric and structural components.
* Coordinate environmental audits (including contamination and flood risk) and advise on liabilities.
* Assess building regulation compliance, EPC ratings, and health & safety certifications.
* Estimate capital expenditure required for upgrades or retrofits.
* Translate survey results into risk-mitigated reports for legal, financial and governance teams.
* Recommend risk-based adjustments to deal terms or capex reserves prior to completion.
Ideal Profile
* RICS/CIOB qualified with 5+ years in commercial/residential technical due diligence.
* Experienced in PBSA, Block of Apartments, Commercial assets and general fit-out assessments.
* Comfortable advising under phased acquisition and finance scenarios.
* Familiar with REIT asset criteria, sustainability metrics, and insurance requirements.
