Your New Role
In your role as an NQ or Associate Corporate Solicitor, you will be part of a hard‑working, friendly and supportive team. The Northern Ireland Corporate team focuses on M&A work, investment and corporate governance, with particular expertise in intellectual property and tech law in the vibrant start‑up community in NI.
You will enjoy the benefit of hybrid working (with a minimum of 2 days in the office required).
Key Responsibilities and Experience
You will be interested in innovation and tech, people and their businesses, ideally with some prior experience in the majority of the following:
* M&A process
* Venture capital and/or private equity investment process
* General corporate advisory work such as share issues, share buy‑backs and internal re‑organisations
* Shareholder agreements and bespoke articles of association
* Legal due diligence, including the collation of reports and advice on solutions
* Disclosure process and reviewing disclosure letters or schedules
* Typical ancillary documents on an acquisition or disposal
Mergers and Acquisitions – share and asset sales and purchases for corporates, buyout transactions and due diligence. Clients will range from UK, European and US listed multinational organisations to owner‑managed businesses in sectors from financial services to advertising. Long experience of the firm acting for clients in the media and technology industries gives unrivalled expertise in these sectors.
Corporate finance – venture capital and private equity investments, pre‑IPO fundraising, investment agreements. The firm acts for numerous companies and investors from business angels and venture funds to private equity, as well as for investee companies and management/founders.
Joint ventures – contractual structures, corporate and LLP vehicles, and tax‑efficient structuring. Joint ventures often provide the appropriate solution and structure for a specific business venture. The firm helps in choosing the appropriate joint venture vehicle and handling tax‑efficient structuring and associated funding.
General corporate advice – insolvency and corporate recovery, statutory and regulatory compliance, shareholders’ and partnership agreements and constitutional agreements. This includes advising individuals on the best corporate vehicle for their business, keeping them up to date with recent changes in law and practice, and the right course of action to take should their business encounter financial difficulties.
Debt – loans and security and general financial advice. The firm advises both borrowers and lenders on appropriate finance structures, together with providing general advice on day‑to‑day financial matters.
Commercial tax – tax‑efficient structuring and reorganisations. Underpinning all transactional work is the support of tax colleagues. Getting the tax right is fundamental to any corporate activity. The firm’s tax experts are well versed in structuring corporate acquisitions and disposals, private equity transactions and debt structuring, and regularly advise on issues from transfer pricing to LTIPs.
What You Need To Succeed
As a Newly Qualified Corporate Solicitor or Associate Corporate Solicitor, you will be a qualified solicitor in Northern Ireland, England and Wales or the Republic of Ireland. You will have had a seat or rotation in a corporate team at a leading regional or City law firm handling Mergers and Acquisitions (M&A), Joint Ventures (JVs), and providing general corporate advice. You will also possess excellent communication skills and a high level of technical proficiency, with the ability to nurture and develop client relationships.
