Senior Manager - Company Secretary - Fund & Corporate Services
The role reports to a Director within the London team. The role holder willtake responsibility of service delivery for some of our UK Corporates and ListedFunds. This is fast growing business with a friendly, diverse andprofessional team who pride themselves on service excellence. This rolerequires a person who is dynamic, self-managed and able to work in a fast pacedand at times challenging environment.
PURPOSE OF JOB
The role holder will make a significant contribution to the team, providingsupport for service delivery to UK corporates. You will be responsiblefor all aspects of Company Secretarial and Corporate Governance supportincluding arrangements for and attendance at board, committee and shareholdermeetings, preparing and filing documentation in relation to regulatorycompliance and statutory returns, corporate transactional support and gainexperience of listed plc governance and IPO processes and procedures. There will also be the opportunity to provide support to special projects suchas corporate actions.
MAIN RESPONSIBILITIES AND DUTIES
* Administer and monitor avaried client portfolio with an emphasis on UK corporate entities some ofwhich will be listed within the timescales set and agreed, investigatingand suggesting enhancements where necessary, ensuring timely and effectiveclient care
* Understand the relevantlegislation and ensuring that all activities undertaken meet legislativerequirements
* Attend and minute board,committee and shareholder meetings, travelling to client locations asrequired
* Draft board papers, assembleboard packs and ensure distribution to client boards
* Provide review and commenton corporate documentation as required by the client and in conjunctionwith other advisors
* Draft other companymaterials and statutory filings, as appropriate
* Review client structures,complete review processes for client entities, remain aware of riskexposure, including the fulfilment of responsibilities under the reviewprocedures
* Assist with the review legaland tax advice where appropriate and be able to interpret /implementrelevant advice as required
* Maintain accurate and up todate records of client entities, ensuring all statutory obligations arecomplied with
* Assist more junior membersof the team, deliver to agreed scope and timescales
* Keep clients’ records up todate and ensure all statutory registers are maintained
Receive, monitor and keep upto date with constitutional and regulatory requirements as applicable toindividual clients
* Take responsibility forvarious other aspects of our service offering, including developing clientrelationships, keeping up to date with best practice and helpingdisseminate the same to the wider team, undertaking office administrationincluding billing and project work,as appropriate
* Deal with correspondence,the collating of relevant information and writing of reports, ensuringdecisions made or action points agreed are communicated to the relevantparties and completed within timescales set and agreed
* Provide contribution tomeeting discussions, as and when required
* Liaising with externalregulators and advisers, such as lawyers and auditors
* Assist with the production,where necessary, of relevant policies and procedures including thedevelopment of a knowledge bank
* Manage billing and cashcollection / debtors process for director’s clients, have an awareness ofrecoverability and work in an efficient manner so as to minimisewrite-offs
* Remain aware of theobligations for the reporting of unusual transactions and act as a guideto the Department in this respect
* Adhere to Risk &Associate Compliance procedures in relation to regulatory requirements andAML legislation
* Adhere to CPD requirementsin accordance with qualification level and in-house procedures.

ESSENTIAL REQUIREMENTS

* Degree 2:1, or equivalent
* Qualified company secretary with 5+ years’ relevant experience
